BUSINESS BILL PAY AGREEMENT & DISCLOSURE

This is your Business Bill Pay Service Agreement with Excel Federal Credit Union. You may
use Excel’s Business Bill Pay Service in accordance with this agreement to direct EXCEL
Federal Credit Union to make payments from your designated business checking account(s)
on your behalf. The terms and conditions of this Agreement are in addition to the account
agreements, disclosures and other documents governing your Excel business account(s)
and available on the EXCEL Federal Credit Union website or in writing at the credit union.
This Business Bill Pay Agreement does not apply to personal accounts.

You must be an owner of an EXCEL Business Checking Account and the account must be in
good standing in order to use the Business Bill Pay Service.

"You" or "your" refers to the business checking account owner or owners.

"Authorized Payee" means any business or person, including your employees, that you
designate and EXCEL Federal Credit Union accepts as eligible to receive payments.

There is no fee for the first fifteen (15) business bill pay transactions during each month. Bill
payments beyond fifteen (15) each month will incur a fee of $.50 per bill pay transaction. All
other applicable fees in regards to Business Accounts, as set forth in EXCEL Federal Credit
Union’s Business Account Disclosures provided to you when you opened your account and
available on EXCEL’s website, or in print at any EXCEL branch office, will apply.


ACCESSING THE BUSINESS BILL PAY SERVICE

Your account(s) must be in good standing and you must be approved by EXCEL Federal
Credit Union in order to use the Business Bill Pay Service. After enrolling in Business Bill
Pay, EXCEL will approve or deny access to the Business Bill Pay Service within three
business days. In the event you are denied access, you will be notified by email and/or
phone that access to the service has been declined.


ESTABLISHING, CHANGING AND PROTECTING YOUR PASSWORD

You have the ability to establish authorized sub-users with different levels of access to your
account(s) and the Business Bill Pay Service.

EXCEL Federal Credit Union is not responsible for any sub-user you have authorized to
access your account(s) and their use or misuse of the Business Bill Pay Service.

During the enrollment process, you and any sub-users you have authorized to use the
Business Bill Pay Service will be asked to create a User I.D. and a password. The User I.D.
must be between 4 and 20 alpha-numeric characters in length. The password must be
between 8 and 16 alpha numeric characters.

Each time you, or your authorized sub-users, access the Business Bill Pay Service you
will be asked to enter your User I.D. and password.

Three (3) incorrect login attempts will cause you or your authorized users to be locked out
of the bill pay system. If this occurs, the account owner will need to contact EXCEL Federal
Credit Union to reestablish access.


ESTABLISHING PAYEES

You may pay any authorized payee within the United States, including U.S. territories, and
overseas military with an Army Post Office (APO) or Fleet Post Office (FPO) address.

EXCEL Federal Credit Union reserves the right, without liability, to reject or refuse to
authorize a payee or make a payment on your behalf for any reason, including but not
limited to, your failure to comply with any of the requirements or terms of this agreement.
EXCEL Federal Credit Union will attempt to notify you by the next business day in the event
a payee is not authorized or a payment is not processed, however, this does not imply
liability for any payments initiated by you through the EXCEL Business Bill Pay Service and
not processed by EXCEL Federal Credit Union.

EXCEL Federal Credit Union is not responsible for a Bill Payment that cannot be made due to
incomplete, incorrect, or outdated information provided by you regarding a payee, or if you
attempt to pay a payee that is not on your authorized payee list.


TRANSACTION LIMITATIONS

There are transaction limitations in place in order to safeguard your funds. Please note the
transaction limitations that have been set by EXCEL Federal Credit Union for future
reference. In the event you attempt to make a payment greater than the allowable
amounts, the system will not allow you to complete the transaction. In the event you need
to make payments above the limit(s), please contact EXCEL Federal Credit Union.

For email payments, there is a $50,000 per item cap and a $100,000 per day cap.

For transfers, there is a $50,000 per item cap and a $100,000 per day cap.

There is a maximum per transaction cap of $100,000.


THE BILL PAYING PROCESS

Bill Payment requests received by EXCEL Federal Credit Union on a business day (generally
Monday through Friday, excluding holidays), and prior to the cutoff time, will be processed
on that date if scheduled by you to do so. Pending payments will be processed on the date
you have scheduled as the process date, after the cutoff time on that date and prior to the
next business day.

Payments that are in “Pending” status will not be paid until you or your authorized user
approves them. If the pending payment is approved after the original process date then the
payment will be processed on the next available business day.


CUTOFF TIME

The cutoff time is 4PM, Monday through Friday, excluding published holidays.

EXCEL Federal Credit Union reserves the right to change the cutoff time at any time without
notice.

In the event the cutoff time is changed, notification of such change will be posted on the
Business Bill Pay site.


SINGLE PAYMENTS

A single payment will be processed on the business day (generally Monday through Friday,
excluding published holidays) that you designate as the payment’s process date, provided
the payment is submitted, and if required approved, prior to the daily cutoff time on that
date.

A single payment submitted after the cutoff time on the designated process date will be
processed on the following business day. If you designate a non-business date (generally
weekends and holidays) as the payment’s process date, the payment will be
processed on the first business day following the designated process date.


RECURRING PAYMENTS

When a recurring payment is processed, payments are automatically scheduled by the
system based on the frequency settings you have established. If the calculated process date
is a non-business date (generally weekends and certain holidays), it is adjusted based upon
the following rules:

o For recurring payments that you have selected the “Pay Before” option, the
process date for the new occurrence of the payment(s) will be adjusted to the
first business date prior to the calculated process date.

o For recurring payments that you have selected the "Pay After" option, the
process date for the new occurrence of the payment(s) will be adjusted to the
first business date after the calculated process date.

If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a
particular date of the month for processing and that date does not exist in the month of the
calculated process date, then the last business day of that month is used as the calculated
process date.

Payments will reoccur based on the schedule you establish provided the funds are available
in your account(s). If you would like to change the payment amount for an upcoming
recurring payment, you must modify the payment amount prior to the cutoff time on the
date it is scheduled to be processed.


ESTIMATED ARRIVAL DATE

The system will calculate the Estimated Arrival Date of your payment. The arrival date is an
estimate and not a guarantee. You will need to allow ample time for your payments to be
received and processed by your payees.

The system will indicate whether a payment will be made electronically or by check. Well in
advance of making your first payment to a payee, it is in your best interest to note whether
the payment will be made by check or electronically and adjust your process date
accordingly.

When setting up your payments, please allow at least 4 (four) business days for electronic
payments and ten (10) business days for check payments.

EXCEL Federal Credit Union is not responsible for payments that do not arrive by the
Estimated Arrival Date or for any late charges, fees or omissions related to your use of the
Business Bill Pay Service.


CANCELLING OR CHANGING A PENDING PAYMENT

To change or cancel a pending payment, you must make the change, or cancel the
scheduled payment, prior to the cutoff time on the scheduled process date.


CANCELLING, CHANGING, OR REVERSING A PAYMENT IN PROCESS

EXCEL Federal Credit Union cannot make changes to payments that have already been
debited from your account.

For inquiries regarding payments that have already been debited from your EXCEL Federal
Credit Union account, you may contact the bill payment processing center at 1-866-240-
9671.


SCHEDULING EMPLOYEE DEPOSITS/PAYMENTS

This option gives you the ability to transfer funds to your employee’s account(s).

Transfers are debited from your account immediately and may take up to two business days
to post to your employees' account(s).

Transfers or deposits to your employees' accounts will not be processed until you have
added the employee(s) to the Business Bill Pay Service and established your pay dates.

In order to stop payments to an individual employee you must remove the employee from
the Business Bill Pay Service.

In the event you stop a pending employee transfer, the Business Bill Pay System will stop
the transfer of funds for all employees scheduled to receive a deposit as part of that
transfer.

EXCEL Federal Credit Union is not responsible for unauthorized, inaccurate or incomplete
payment transfers from your account(s) due to the use or misuse of the Business Bill Pay
Service by you or anyone you authorize to access your account(s) and use the Business Bill
Pay Service.


ELECTRONIC TAX PAYMENTS

EXCEL Federal Credit Union’s business bill pay service provides a link to the Electronic
Funds Tax Payment Service (EFTPS) site.

This site is in no way affiliated with EXCEL Federal Credit Union.

Your transactions using the EFTPS site will not be reflected in the Business Bill Pay site.

EXCEL Federal Credit Union cannot change or reverse any of the transactions you submit
through the EFTPS site.


AVAILABLE FUNDS

You agree to have available and collected funds on deposit in the account you designate in
amounts sufficient to pay for all bill payments requested, as well as, any other payment
obligations you have to EXCEL Federal Credit Union. It is your responsibility to ensure that
adequate funds are available in your account(s) by the cutoff time on the date you have
selected to pay your bills.

If you do not have sufficient funds in the account and EXCEL Federal Credit Union has not
exercised its right to reverse or reject a bill payment, you agree to pay for such payment
obligations on demand. If the funds are not available in your checking account, your bills
will not be paid and non-sufficient funds (NSF) fees will apply. You will not be alerted that
you do not have enough funds in the account when initiating payments through the bill pay
system, nor will you receive a non-sufficient funds (NSF) notice at this time.

You further agree that EXCEL Federal Credit Union, at its option, may charge any of your
EXCEL Federal Credit Union accounts to cover such payment obligations.

EXCEL Federal Credit Union reserves the right, without liability, to reject or reverse a bill
payment for any reason, including but not limited to, lack of sufficient funds.


LIABILITY

You are solely responsible for controlling the safekeeping of and access to your business bill
pay account and password(s).

You are liable for all bill pay transactions you make, or you authorize another person to
make on your behalf, even if that person exceeds his or her authority.

In order to terminate another person's authority, you must notify EXCEL Federal Credit
Union.

You will be responsible for any Bill Payment that you, or anyone you have authorized, have
initiated that contains an error or is a duplicate of another Bill Payment.

EXCEL Federal Credit Union is not responsible for Bill Payments that are not processed in
the event you did not properly follow the instructions for making a Bill Payment.

EXCEL Federal Credit Union is not liable for any failure to make a Bill Payment in the event
you do not notify EXCEL within 30 days after you learn that you have not received credit
from a payee for a Bill Payment.

EXCEL is not responsible for your acts or omissions, or those of any other person, including,
without limitation, any payment processing service, transmission or communication’s facility,
and no such party shall be deemed to be EXCEL Federal Credit Union's agent.

In any event, EXCEL Federal Credit Union will not be liable for any special, consequential,
incidental, or punitive losses, damages, or expenses in connection with this Agreement or
the Bill Pay Service, even if EXCEL Federal Credit Union has knowledge of the possibility of
them.

EXCEL Federal Credit Union is not liable for any act, failure to act, or delay in acting, if it is
caused, in whole or in part, by any cause beyond their control.


AMENDMENT AND TERMINATION

EXCEL Federal Credit Union has the right to change this Agreement at any time by notice
mailed to you at the last address or email address shown on EXCEL Federal Credit Union’s
records for the account, or by posting notice in branches, or by posting on the EXCEL
website, or as otherwise permitted by law.

EXCEL Federal Credit Union has the right to terminate this Agreement at any time.

You may terminate this Agreement by written notice to EXCEL.

EXCEL Federal Credit Union is not responsible for any fixed payment made before we have
a reasonable opportunity to act on your termination notice. You remain obligated for any
payments made by EXCEL Federal Credit Union on your behalf.

Other applicable fees in regards to Business Accounts, as set forth in EXCEL Federal Credit
Union’s Disclosures and available on the EXCEL website, or in print at any EXCEL branch
office, will apply.
