ONLINE BILL PAY SERVICES AGREEMENT AND DISCLOSURE

Please read this agreement and disclosure carefully. It contains important information and guidelines for using our Bill Pay Service. Your continued use of our Bill Pay Service implies your acceptance to this agreement...

A. Overview
This is your bill paying agreement with Anadarko Bank and Trust Company.

You may use Anadarko Bank and Trust Company’s Bill Pay service to direct Anadarko Bank and Trust Company to make payments from your designated checking account(s) to the “Payees” you choose in accordance with this agreement. The terms and conditions of this Agreement are in addition to the account agreements, disclosures and other documents in effect from time to time governing your account.
B. Definitions
• “Financial Institution” and “Bank” means Anadarko Bank and Trust Company
• "You" or "Your" means any person you authorize to use the service
• "Payee" means anyone, including Anadarko Bank and Trust Co, that you designate and Anadarko Bank and Trust Company accepts as a recipient of your Bill Pay Service transaction
• “The Service” is the Bill Pay Service. Anadarko Bank and Trust Company uses a third party to provide the Bill Pay Service. iPay Technologies is the third party who Anadarko Bank and Trust Company has contracted with to provide the Service to its customers. iPay Technologies is not affiliated with or a part of Anadarko Bank and Trust Company. iPay Technologies is a third party beneficiary to this Agreement.
• “Service Guarantee” is a guaranteed payment delivery date provided by The Service under specific conditions; except for these specific conditions and subject to circumstances described within this agreement, there is no guaranteed payment delivery date
• “E-Bill Delivery” and “E-Bill Presentment” is an optional feature of The Service that allows you to receive invoices from your Payees electronically and to have them delivered into your Bill Pay account for payment.
C. Accessing The Bill Pay Service
Access to the service is available only from Anadarko Bank and Trust Company’s online Internet Banking Service available at www.abandt.biz. You must complete a Bill Pay enrollment form available from our Secure Internet Banking web site. The Bank will make every effort to accommodate your bill paying enrollment request.

Once enrolled for the Bill Pay Service, then access to The Service requires you to login to the Bank’s online Internet Banking Service, where you must enter your USER ID and PASSWORD. There may also be challenge questions for added security. Once you provide correct responses you will be given access to your account information as well as the Bill Pay Service.
D. Service Fees
1. You agree to pay and hereby authorize us to debit your Account(s) for the charges or fees which are imposed by us for the Service, or for services which may later be offered, as such fees or charges may be imposed or changed from time to time.
2. Any applicable fees will be charged regardless of whether the Service was used during the billing cycle. There may be a charge for additional transactions and other optional or special services (for example uncollected funds, insufficient funds, stop payments, requests for photocopies, etc.). You agree to pay such charges and authorize the Service to deduct the calculated amount from your designated Billing Account for these amounts and any additional charges that may be incurred by you. Any financial fees associated with your standard deposit accounts will continue to apply.
4. You are responsible for any and all telephone access fees and/or Internet service fees that may be assessed by your telephone and/or Internet service provider.

The following fees are applicable:
-- Monthly Service Charge................... $20.00 (waived for the first 3 months)
-- Bill Pays first 10 included .................. $ .50 each bill pay over 10 each month
-- Payroll Deposits first 15 included ....... $ 2.10 per set of 5 additional deposits over the 15 each month
-- Electronic Invoices first 15 included ... $ 2.10 per set of 5 additional invoices over the 15 each month

There may be additional charges for the following requested services:
 Proof of payment (not necissitated by dispute)
 Stop Payment Request before disbursement
 Returned payment due to error
 ACH Return Fee
 Letter mailed by Express Mail
 Letter to recipient of payment


E. Payment Authorization and Payment Remittance
1. By providing the Service with names and account information of Payees to whom you wish to direct payments, you authorize the Service to follow the Payment Instructions that it receives through the payment system. In order to process payments more efficiently and effectively, the Service may edit or alter payment data or data formats in accordance with Payee’s directives.
2. When the Service receives a Payment Instruction, you authorize the Service to debit your Payment Account and remit funds on your behalf so that the funds arrive as close as reasonably possible to the Scheduled Payment Date designated by you. You also authorize the Service to credit your Payment Account for payments returned to the Service by the United States Postal Service or Payee or payments remitted to you on behalf of another authorized user of the Service.
3. The Service will use its best efforts to make all your payments as scheduled. However, the Service shall incur no liability and any Service Guarantee shall be void if the Service is unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances:
a. If, through no fault of the Service, your Payment Account does not contain sufficient available funds to complete the transaction;
b. If through no fault of the Service, your Payment Account is closed, or otherwise restricted for access due to legal, judicial or other actions.
c. The payment processing center is not working properly and you know or have been advised by the Service about the malfunction before you execute the transaction;
d. You have not provided the Service with the correct Payment Account information, or the correct name, address, phone number, or account information for the Payee; and/or,
e. Circumstances beyond control of the Service (such as, but not limited to, fire, flood, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances.
F. How to Setup Payee and Payments
If you want to add a new “PAYEE”, select the “Payee” tab located in the service. You may add a new fixed payment to a “Payee” by accessing the service and entering the appropriate information. Most other additions, deletions, or changes can be made in writing or by using the service.
The Financial Institution reserves the right to refuse the designation of a “Payee” for any reason.
You may pay any “Payee” with-in the United States (including U.S. territories and APO’s / AEO’s).
Anadarko Bank and Trust Company is not responsible if a Bill Payment cannot be made due to incomplete, incorrect, or outdated information provided by you regarding a Payee.
G. The Bill Pay Process
Single Payments – a single payment will be processed on the business day (generally Monday through Friday, except certain holidays) that you designate as the payment’s processing date, provided the payment is submitted prior to the daily cut-off time on that date. The daily cut-off time, which is controlled by the Financial Institution, is currently 3:00PM Central Time.

A single payment submitted after the cut-off time on the designated process date will be processed on the next business day. If you designate a non-business date (generally weekends and certain holidays) as the payment’s processing date, the payment will be processed on the first business day following the designated processing date. The Financial Institution reserves its right to change the cut-off time by giving you notice if it changes

Recurring Payments - When a recurring payment is processed, it is automatically rescheduled by the system. Based upon your selected frequency settings for the payment, a processing date is calculated for the next occurrence of the payment. If the calculated processing date is a non-business date (generally weekends and certain holidays), it is adjusted based upon the following rules:
• If the recurring payment‘s “Pay Before” option is selected, the processing date for the new occurrence of the payment is adjusted to the first business date prior to the calculated processing date.
• If the recurring payment’s “Pay After” option is selected, the processing date for the new occurrence of the payment is adjusted to the first business date after the calculated processing date.
Note: If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for processing and that day does not exist in the month of the calculated processing date, then the last calendar day of that month is used as the calculated processing date.

SINGLE AND RECURRING PAYMENTS
The system will calculate the Estimated Arrival Date of your payment. This is only an estimate, so please allow ample time for your payments to reach your “Payees”. Bill Payments are processed on the day you select as a Scheduled Payment Date. When scheduling Bill Payments, you must select a Scheduled Payment Date that is no later than the recommended time frame for delivery on Check payments (five (5) Business Days) or Electronic payments (three (3) Business Days) before your actual Due Date. If the actual Due Date falls on a non-Business Day, you must select a Scheduled Payment Date that adds a minimum of at least one (1) Business Day, more days are necessary for multi-day federal holidays, to the recommended time frame for delivery of Check and Electronic Payments. Scheduled Payment Dates and recommended delivery times should be prior to any late date or grace period. Anadarko Bank and Trust Co. will not be responsible for any finance charges or penalties incurred for late payments that were due to invalid information entered by you such as Payee address or user account number at the payee. The Service will be responsible for any changes to Payees made in error by the Service.

Due to circumstances beyond our control, some Payees take longer to post payments than others. We suggest sending your first payment with more than enough time to post before the Due Date. After your first payment has posted you will have a better understanding of how much time to allow for each Payee.

You agree to have available and collected funds on deposit in the account you designate in amounts sufficient to pay for all Bill Payments requested, as well as, any other payment obligations you have to the Financial Institution. The Financial Institution reserves the right, without liability, to reject or reverse a Bill Payment if you fail to comply with this requirement or any other terms of this agreement. If you do not have sufficient funds in the Account and the Financial Institution has not exercised its right to reverse or reject a Bill Payment, you agree to pay for such payment obligations on demand. You further agree the Financial Institution, at its option, may charge any of your accounts with the Financial Institution to cover such payment obligations.

H. Payment Methods
The Service reserves the right to select the method in which to remit funds on your behalf to your Payee. These payment methods may include, but may not be limited to, an electronic payment, an electronic to check payment, or a laser draft payment (funds remitted to the Payee are deducted from your Payment Account when the laser draft is presented to your financial institution for payment).
I. Payment Cancellation Requests
You may cancel or edit any Scheduled Payment (including recurring payments) by following the directions within the Service. There is no charge for canceling or editing a Scheduled Payment. Once the Service has begun processing a payment it cannot be cancelled or edited.
J. Stop Payment Requests
The Service's ability to process a stop payment request will depend on the payment method and whether or not a check has cleared. The Service may also not have a reasonable opportunity to act on any stop payment request after a payment has been processed. If you desire to stop any payment that has already been processed, you must contact our Bookkeeping Department. Although the Service will make every effort to accommodate your request, the Service will have no liability for failing to do so. The Service may also require you to present your request in writing within fourteen (14) days. The charge for each stop payment request will be the current charge for such service as set out in the applicable fee schedule.
K. Prohibited Payments
Payments to Payees outside of the United States or its territories are prohibited through the Service.
L. Exception Payments
Tax payments and court ordered payments may be scheduled through the Service; however, such payments are discouraged and must be scheduled at your own risk. In no event shall the Service be liable for any claims for damages resulting from your scheduling of these types of payments. The Service Guarantee as it applies to any late payment related charges is void when these types of payments are scheduled and/or processed by the Service. The Service has no obligation to research or resolve any claim resulting from an exception payment. All research and resolution for any misapplied, mis-posted or misdirected payments will be the sole responsibility of you and not of the Service.
M. E-Bill Delivery and E-Bill Presentment
This feature is for the presentment of electronic bills only and it is your sole responsibility to contact your Billers directly if you do not receive your statements. In addition, if you elect to activate one of the Service's electronic bill options, you also agree to the following:
1. Information provided to the Biller – The Service is unable to update or change your personal information such as, but not limited to, name, address, phone numbers and email addresses, with the electronic Biller. Any changes will need to be made by contacting the Biller directly. Additionally it is your responsibility to maintain all usernames and passwords for all electronic Biller sites. You also agree not to use someone else's information to gain unauthorized access to another person's bill. The Service may, at the request of the Biller, provide to the Biller your email address, service address, or other data specifically requested by the Biller at the time of activating the electronic bill for that Biller, for purposes of the Biller informing you about Service and/or bill information.
2. Activation – Upon activation of the electronic bill feature the Service may notify the Biller of your request to receive electronic billing information. The presentment of your first electronic bill may vary from Biller to Biller and may take up to sixty (60) days, depending on the billing cycle of each Biller. Additionally, the ability to receive a paper copy of your statement(s) is at the sole discretion of the Biller. While your electronic bill feature is being activated it is your responsibility to keep your accounts current. Each electronic Biller reserves the right to accept or deny your request to receive electronic bills.
3. Authorization to obtain bill data – Your activation of the electronic bill feature for a Biller shall be deemed by us to be your authorization for us to obtain bill data from the Biller on your behalf. For some Billers, you will be asked to provide us with your user name and password for that Biller. By providing us with such information, you authorize us to use the information to obtain your bill data.
4. Notification – The Service will use its best efforts to present all of your electronic bills promptly. In addition to notification within the Service, the Service may send an email notification to the email address listed for your account. It is your sole responsibility to ensure that this information is accurate. In the event you do not receive notification, it is your responsibility to periodically logon to the Service and check on the delivery of new electronic bills. The time for notification may vary from Biller to Biller. You are responsible for ensuring timely payment of all bills.
5. Cancellation of electronic bill notification – The electronic Biller reserves the right to cancel the presentment of electronic bills at any time. You may cancel electronic bill presentment at any time. The timeframe for cancellation of your electronic bill presentment may vary from Biller to Biller. It may take up to sixty (60) days, depending on the billing cycle of each Biller. The Service will notify your electronic Biller(s) as to the change in status of your account and it is your sole responsibility to make arrangements for an alternative form of bill delivery. The Service will not be responsible for presenting any electronic bills that are already in process at the time of cancellation.
6. Non-Delivery of electronic bill(s) – You agree to hold the Service harmless should the Biller fail to deliver your statement(s). You are responsible for ensuring timely payment of all bills. Copies of previously delivered bills must be requested from the Biller directly.
7. Accuracy and dispute of electronic bill – The Service is not responsible for the accuracy of your electronic bill(s). The Service is only responsible for presenting the information we receive from the Biller. Any discrepancies or disputes regarding the accuracy of your electronic bill summary or detail must be addressed with the Biller directly.
8. Privacy – When you establish e-bills with a participating Biller you will provide certain information that will be forwarded to the Biller to complete your enrollment. If you have any questions concerning the future use of this information you should contact your Biller directly.
9. This Agreement does not alter your liability or obligations that currently exist between you and your Billers.
N. Exclusions of Warranties
The Service and related documentation are provided "as is" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.
O. Payee Limitation
The Service reserves the right to refuse to pay any Payee to whom you may direct a payment. The Service will notify you promptly if it decides to refuse to pay a Payee designated by you. This notification is not required if you attempt to make a prohibited payment or an exception payment under this Agreement.
P. Returned Payments
In using the Service, you understand that Payees and/or the United States Postal Service may return payments to the Service for various reasons such as, but not limited to, Payee’s forwarding address expired; Payee account number is not valid; Payee is unable to locate account; or your account is paid in full. The Service will use its best efforts to research and correct the returned payment and return it to your Payee, or void the payment and credit your Payment Account. You may receive notification from the Service.
Q. Information Authorization
Your enrollment in the Service may not be fulfilled if the Service cannot verify your identity or other necessary information. In order to verify ownership of the Payment Account(s) and/or Billing Account, the Service may issue offsetting debits and credits to the Payment Account(s) and/or Billing Account, and require confirmation of such from you. You authorize us or our affiliates to order a credit report for sales, marketing, new account and/or credit authorization purposes. When you open an account, we will ask you for a variety of information, including your date of birth, social security number, physical street address, or other documentary information (such as organization resolutions for businesses) that will allow us to confirm your personal or your company identity. At our discretion, we reserve the right to not open the account, until we have adequate identification. We may also ask you to come personally to a branch to open the account. Through your enrollment in the Service, you agree that the Service reserves the right to request a review of your credit rating at its own expense through an authorized bureau. In addition, you agree that the Service reserves the right to obtain financial information regarding your account from a Biller or your financial institution (for example, to resolve payment posting problems or for verification).
R. Disputes
In the event of a dispute regarding the Service, you and the Service agree to resolve the dispute by looking to this Agreement. You agree that this Agreement is the complete and exclusive statement of the agreement between you and the Service which supersedes any proposal or prior agreement, oral or written, and any other communications between you and the Service relating to the subject matter of this Agreement. If there is a conflict between what an employee of the Service or our Information Center says and the terms of this Agreement; the terms of this Agreement will prevail.
S. Failed or Returned Transactions
1. In using the Service, you are requesting the Service to make payments for you from your Payment Account. If we are unable to complete the transaction for any reason associated with your Payment Account (for example, there are insufficient funds in your Payment Account to cover the transaction), the transaction will not be completed. In some instances, you will receive a return notice from the Service. In such case, you agree that:
a. You will reimburse the Service immediately upon demand the transaction amount that has been returned to the Service;
b. For any amount not reimbursed to the Service within fifteen (15) days of the initial notification, a late charge equal to 1.5% monthly interest or the legal maximum, whichever rate is lower, for any unpaid amounts may be imposed;
c. You will reimburse the Service for any fees imposed by your financial institution as a result of the return;
d. You will reimburse the Service for any fees it incurs in attempting to collect the amount of the return from you; and,
e. The Service is authorized to report the facts concerning the return to any credit reporting agency.
T. Service Termination, Cancellation or Suspension
1. You may cancel the Service by written notice to Anadarko Bank and Trust Co. If you cancel the Service, you authorize us to continue making those payments the Service has already processed before the requested cancellation date. Recurring payments will not be processed once the Service is cancelled.
2. We have the right to refuse or revoke access to or terminate the Service at any time, without cause or notice or refund of previously charged or accrued fees. We may also refuse to make any payment to any Payee without cause or notice. Your privileges may also be revoked without notice if any account becomes overdrawn, delinquent or otherwise ceases to be in good standing.
3. In addition to the provisions above, for security purposes, if you have not used the Service for a period of time, we reserve the right to terminate the Service without notice. If we terminate your use of the Service, we reserve the right to make no further transfers or payments from your designated account, including any transactions you previously authorized.
4. Neither termination nor discontinuation of the Service shall affect your liability or obligations under this Agreement.
5. The Financial Institution reserves the right to charge you for research time involving payments no longer available in your screen history. You will be informed of any such charges before they are incurred.
6. Some Bill payments are processed by Electronic Fund Transfers (EFT). Please see the Electronic Fund Transfers Disclosure Statement included, or, received when you opened your account, which discloses important information concerning your rights and obligations.
U. LIABILITY
You are solely responsible for controlling the safekeeping of and access to, your USER ID and PASSWORD. You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person's authority, you must notify Anadarko Bank and Trust Co. You will be responsible for any Bill Payment request you make that contains an error or is a duplicate of another Bill Payment. The Bank is not responsible for a Bill Payment that is not made if you did not properly follow the instructions for making a Bill Payment. The Bank is not liable for any failure to make a Bill Payment if you fail to promptly notify Bank after you learn that you have not received credit from a Payee for a Bill Payment. Anadarko Bank and Trust Co. is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Bank’s agent. In any event, the Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Bank has knowledge of the possibility of them. The Bank is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the control of Anadarko Bank and Trust Co.
V. AMENDMENT
Anadarko Bank and Trust Company has the right to change this agreement at any time by notice mailed to you at the last address shown for the account on the Bank’s records, by posting notice in branches of the Bank, or as otherwise permitted by law.
