This Bill Pay Terms and Conditions (the Agreement) contains the rules governing your usage of the A+ Federal Credit Union (Credit Union) bill payment service. READ THIS AGREEMENT CAREFULLY.

You represent and warrant that you are acting with full authority for the applying entity, and that you are duly authorized to execute this Agreement on behalf of the applying entity.

You may use A+FCU's bill payment service, Bill Pay, to direct A+FCU to make payments from your designated checking account(s) to the Payees(s) you choose in accordance with this Agreement. This Agreement is in addition to and does not replace the A+ Federal Credit Union Business Membership and Account Agreement and Business Electronic Funds Transfer Agreement and Disclosure. For a current copy of these agreements, please refer to the Disclosure section of the Credit Union website at www.aplusfcu.org. You acknowledge that access to business accounts is not governed by the
Federal Electronic Funds Transfer Act and Regulation E.

SERVICE DEFINITIONS
"Agreement" means these terms and conditions of the Bill Pay service.
"Biller" is the person or entity from which you receive electronic bills, as the case may be.
"Billing Account" is the checking account from which all Service fees will be automatically debited.
"Business Day" is every Monday through Friday, excluding Federal Reserve holidays.
"Delivery by Date" is the day you want your Payee to receive your bill payment.
"Payee" is the person or entity to which you wish a bill payment to be directed.
"Payment Account" is the checking account from which bill payments will be debited. Only checking accounts may be designated as the Payment Account.
"Payment Instruction" is the information provided by you to the Service for a bill payment to be made to the Payee (such as, but not limited to, Payee name, Payee account number, and Deliver by Date).
"Process Date" for electronic payments is the day we will begin to process your payment.
"Process Date" for check payments is the day a check will be mailed.
"Scheduled Payment" is a payment that has been scheduled through the Service but has not begun processing.
"Service" means the bill payment service offered by A+ Federal Credit Union.
"You" and "your" mean the business account owner and any authorized users.

BUSINESS PURPOSE
You acknowledge and agree that the A+FCU Business Bill Payment Service may be used for business purposes only and may not be used for personal, household, or family purposes. The business owner agrees to implement reasonable measures to ensure that the Service is used for business purposes only.

SERVICE FEES AND ADDITIONAL CHARGES

There are no recurring service fees for this service.

There may be a charge for additional transactions and other optional services. Fees for specific transactions charged by the Service are disclosed while requesting the transaction within the Service. Any applicable fees will be charged regardless of whether the Service was used during the billing cycle. You agree to pay such charges and authorize the Service to deduct the calculated amount from your designated Billing Account for these amounts and any additional charges that may be incurred by you. If available funds for charges are not in your account on the day the charges attempt to pay, an insufficient funds (NSF) fee will be assessed to your account. Refer to the Credit Union?s Fee Schedule for current fees. You are responsible for any and all telephone access fees and/or Internet service fees that may be assessed by your telephone and/or Internet Service Provider.

ACCESSING THE SERVICE
To access the Service, log in to A+ Online Banking at www.aplusfcu.org using your A+ Online User Name and A+ Online password. Then, click on the Bill Pay menu item.

PASSWORD AND SECURITY
Because your password can be used to access money in your accounts, you should treat the password with the same degree of care and secrecy that you use to protect cash and other sensitive personal financial data. The Credit Union recommends that you change your password regularly. The Credit Union is entitled to act on instructions received under your password. For security purposes, it is recommended that you memorize the password and do not write it down. You agree that you will not (i) give out your account information or password other than as provided in this Agreement; (ii) leave your computer unattended while you are using the Service; (iii) leave your account information within range of others; and (iv) send privileged account information (Account number, password, User ID, etc.) in any public or general email system. You are responsible for all payments you authorize using the Service. If you permit other persons to use the Service or your password or other means to access your account, you are responsible for any transactions they authorize. If you believe that your password or other means to access your account has been lost or stolen or that someone may attempt to use the Service without your consent or has transferred money without your permission, you must notify the Credit Union at once by calling 800-252-8148 or 512-302-6800 during business hours.

VIRUS PROTECTION
The Credit Union is not responsible for any electronic virus that you may encounter using the Service. We encourage you to routinely scan your computer and diskettes using a reliable virus protection product to detect and remove viruses. If undetected and unrepaired, a virus can corrupt and destroy your programs, files and hardware.

NO DUTY TO MONITOR PAYMENTS
The Credit Union has no duty to monitor the payments that are made through the Service. If an authorized representative uses your Bill Pay Account to pay bills which are not yours, you assume the entire risk of loss and indemnify and hold the Credit Union, our directors, officers, employees and agents harmless from all loss, liability, claims, demands, judgments and expenses arising out of or in any way connected with such use.

HOW TO SET UP PAYEES/PAYMENTS
If you want to add a new PAYEE, select the Payee tab located in the Service or speak to a service representative.
You may add a new fixed payment to a Payee by accessing the Service and entering the appropriate information. The Credit Union reserves the right to refuse the designation of a Payee for any reason.
You may pay any Payee within the United States (including U.S. territories and APO's / AEO's).
The Credit Union is not responsible for payments that cannot be made due to incomplete, incorrect, or outdated information.

PROHIBITED PAYMENTS
Payments to Payees outside of the United States or its territories are prohibited through the Service. In addition, you agree that you will not initiate any transaction that the Credit Union believes poses an undue risk of illegality and the Credit Union may decline to authorize any such transaction. If you initiate a transaction that is determined to be illegal, you will be liable for the transaction. You waive any right to take legal action against the Credit Union for your illegal use of the services, and you agree to indemnify and hold us harmless from and against any lawsuits, other legal action, or liability that results directly or indirectly from such illegal use.

UNLAWFUL INTERNET GAMBLING NOTICE
You agree you will not use the Service to conduct transactions relating to unlawful internet gambling or any other illegal activity. We may refuse any gambling transaction, whether lawful or not, or any other transaction which appears to be involved with illegal activity.

PAYMENT AUTHORIZATION AND PAYMENT REMITTANCE
By providing the Service with names and account information of Payees to whom you wish to direct payments, you authorize the Service to follow the Payment Instructions that it receives through the payment service. You authorize and direct the Credit Union to transfer funds on the basis of the designated account numbers even if such number identifies a person or account you did not intend. In order to process payments more efficiently and effectively, the Service may edit or alter payment data or data formats in accordance with Biller/Payee directives.

When the Service receives a Payment Instruction, you authorize the Service to debit your Payment Account and remit funds on your behalf so that the funds arrive as close as reasonably possible to the Deliver by Date as designated by you. You also authorize the Service to credit your Payment Account for payments returned to the Service by the United States Postal Service or Biller/Payee, or payments remitted to you on behalf of another authorized user of the Service.

The Service will use its best efforts to make all your payments properly. However, the Service shall incur no liability if the Service is unable to complete any payments initiated by you because of the existence of any one or more of the following circumstances:
-If, through no fault of the Service, your Payment Account does not contain sufficient funds to complete the transaction or the transaction would exceed the available balance of your overdraft account;
-The payment processing center is not working properly and you know or have been advised by the Service about the malfunction before you execute the transaction;
-You have not provided the Service with the correct Payment Account information, or the correct name, address, phone number, or account information for the Payee; and/or,
-Circumstances beyond control of the Service (such as, but not limited to, fire, flood, or interference from an outside force) prevent the proper execution of the transaction and the Service has taken reasonable precautions to avoid those circumstances.

THE BILL PAYING PROCESS
The daily cutoff time for adding, editing, or cancelling payments is currently 2:00pm Central time.

Single Payments - A single payment will be processed on the business day (generally Monday through Friday, except certain holidays) prior to the date you designate as the payments Deliver by Date, provided the payment is submitted prior to the daily cutoff time on that date.

A single payment submitted after the cutoff time on the designated Process Date will be processed on the next business day.

Recurring Payments - When a recurring payment is processed, it is automatically rescheduled by the service. Based upon your selected frequency settings for the payment, a Process Date is calculated for the next occurrence of the payment. If the calculated Process Date is a non-business date (generally weekends and certain holidays), it is adjusted based upon the following rules:
-If the recurring payment Pay Before option is selected, the Process Date for the new occurrence of the payment is adjusted to the first business date prior to the calculated Process Date.
-If the recurring payment Pay After option is selected, the Process Date for the new occurrence of the payment is adjusted to the first business date after the calculated Process Date.

Note: If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for processing and that day does not exist in the month of the calculated Process Date, then the last calendar day of that month is used as the calculated Process Date.

SINGLE AND RECURRING PAYMENTS
The service will calculate the Estimated Process Date of your payment. This is only an estimate, so please allow ample time for your payments to reach your Payees.

CANCELLING A PAYMENT
A bill payment can be changed/edited or cancelled any time prior to the cutoff time on the scheduled Process Date.

RETURNED PAYMENTS
In using the Service, you understand that Payees and/or the United States Postal Service may return payments to the Credit Union for various reasons such as, but not limited to, Payees forwarding address expired; Payees account number is not valid; Payee is unable to locate account; or Payees account is paid in full. The Credit Union will use its best efforts to research and correct the returned payment and return it to your Payee, or void the payment and credit your Payment Account. You may receive notification from the Credit Union.

STOP PAYMENT REQUESTS
The Credit Union's ability to process a stop payment request will depend on the payment method and whether or not a check has cleared. Electronic payments cannot be stopped after the cutoff time on the Process Date (see Bill Paying Process). If you desire to stop a check payment that has already been processed, you must contact the Credit Union. Although the Credit Union will make every effort to accommodate your request, the Credit Union will have no liability for failing to do so. The Credit Union may also require you to present your request in writing within fourteen (14) days. The charge for each stop payment request will be the current charge as set out in the Credit Union's Fee Schedule. You agree to hold the Credit Union, our directors, officers, employees and agents harmless from any claim, loss, damage, or expense which the Credit Union may suffer or incur, including attorneys' fees, by virtue of our refusing payment of any item on which you have stopped payment, as well as for payment of any item after your stop payment order has expired.

AVAILABLE FUNDS
Electronic Payments: Electronic payments will be debited from your Payment Account on the Deliver by Date. If available funds for a bill payment being processed electronically are not in your Payment Account on the Deliver by Date, the payment will be deducted from your account and an insufficient funds (NSF) fee will be charged. Refer to the Credit Union's Fee Schedule for current fees. The payment will be made to your payee.

Check Payments: Bill payments being processed by check follow normal check clearing processes. The Service will mail a check to the Payee on the Process Date. The check may arrive earlier or later than the Deliver by Date. If available funds for check payments are not in your account on the day the check attempts to pay, the check will be returned following the Credit Union's normal overdraft procedures as outlined in the A+FCU Business Membership and Account Agreement and a fee will be assessed to your account. Refer to the Credit Union's Fee Schedule for current fees.

BILL DELIVERY AND PRESENTMENT
This feature is for the presentment of electronic bills only and it is your sole responsibility to contact your Billers directly if you do not receive your statements. In addition, if you elect to activate one of the Service's electronic bill options, you also agree to the following:
Information provided to the Biller - The Service is unable to update or change your personal information such as, but not limited to, name, address, phone numbers and e-mail addresses, with the electronic Biller. You will need to make any changes by contacting the Biller directly. Additionally it is your responsibility to maintain all usernames and passwords for all electronic Biller sites. You also agree not to use someone else's information to gain unauthorized access to another person's bill. The Service may, at the request of the Biller, provide to the Biller your e-mail address, service address, or other data specifically requested by the Biller at the time of activating the electronic bill for that Biller, for purposes of the Biller informing you about Service and/or bill information.
Activation - Upon activation of the electronic bill feature, the Service may notify the Biller of your request to receive electronic billing information. The presentment of your first electronic bill may vary from Biller to Biller and may take up to sixty (60) days, depending on the billing cycle of each Biller. Additionally, the ability to receive a paper copy of your statement(s) is at the sole discretion of the Biller. While your electronic bill feature is being activated, it is your responsibility to keep your accounts current. Each electronic Biller reserves the right to accept or deny your request to receive electronic bills.
Authorization to Obtain Bill Data - Your activation of the electronic bill feature for a Biller shall be deemed by the Credit Union to be your authorization for the Credit Union to obtain bill data from the Biller on your behalf. For some Billers, you will be asked to provide the Credit Union with your user name and password for that Biller. By providing the Credit Union with such information, you authorize the Credit Union to use the information to obtain your bill data.
Notification - The Service will use its best efforts to present all of your electronic bills promptly. In addition to notification within the Service, the Service may send an e-mail notification to the e-mail address listed for your account. It is your sole responsibility to ensure that this information is accurate. In the event you do not receive notification, it is your responsibility to periodically logon to the Service and check on the delivery of new electronic bills. The time for notification may vary from Biller to Biller. You are responsible for ensuring timely payment of all bills.
Cancellation of Electronic Bill Notification - The electronic Biller reserves the right to cancel the presentment of electronic bills at any time. You may cancel electronic bill presentment at any time. The timeframe for cancellation of your electronic bill presentment may vary from Biller to Biller. It may take up to sixty (60) days, depending on the billing cycle of each Biller. The Service will notify your electronic Biller(s) as to the change in status of your account and it is your sole responsibility to make arrangements for an alternative form of bill delivery. The Service will not be responsible for presenting any electronic bills that are already in process at the time of cancellation.
Non-Delivery of Electronic Bill(s) - You agree to hold the Service harmless should the Biller fail to deliver your statement(s). You are responsible for ensuring timely payment of all bills. Copies of previously delivered bills must be requested from the Biller directly.
Accuracy and Dispute of Electronic Bill - The Service is not responsible for the accuracy of your electronic bill(s). The Service is only responsible for presenting the information received from the Biller. Any discrepancies or disputes regarding the accuracy of your electronic bill summary or detail must be addressed with the Biller directly.
This Agreement does not alter your liability or obligations that currently exist between you and your Billers.

ADDRESS OR BANKING CHANGES
It is your sole responsibility to ensure that the contact information in your user profile is current and accurate. This includes, but is not limited to, name, address, phone numbers and email addresses. Changes can be made either within the Service or by contacting Member Service in writing. All changes made are effective immediately for scheduled and future payments paid from the updated Payment Account information. The Service is not responsible for any payment processing errors or fees incurred if you do not provide accurate Payment Account or contact information.

LIABILITY
You are solely responsible for controlling the safekeeping of and access to your A+ Online User Name and Password. You are liable for all transactions you or your authorized representative make even if that person exceeds his or her authority. If you want to terminate another person's authority to use the Bill Pay service, you must notify the Credit Union and arrange to change your Password. You will be responsible for any bill payment request you make that contains an error or is a duplicate of another bill payment. The Credit Union is not responsible for a bill payment that is not made if you did not properly follow the instructions for making a bill payment. The Credit Union is not liable for any failure to make a bill payment if you fail to promptly notify the Credit Union after you learn that you have not received credit from a Payee? for a bill payment. The Credit Union is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Credit Union's agent. The Credit Union is not responsible for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service.

AMENDMENT
The Credit Union has the right to change this Agreement at any time by notice mailed to you at the last address shown for the account on the Credit Union's records, by posting notice in branches of the Credit Union, or as otherwise permitted by law.

TERMINATION
The Credit Union has the right to terminate this Agreement at any time. You may terminate this agreement by written notice to the Credit Union. The Credit Union is not responsible for any fixed payment made before the Credit Union has a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by the Credit Union on your behalf.

ASSIGNMENT
You may not assign this Agreement to any other party. The Credit Union may assign this Agreement to any future, directly or indirectly, affiliated company. The Credit Union may also assign or delegate certain of its rights and responsibilities under this Agreement to independent contractors or other third parties.

SEVERABILITY
If any provision of this Agreement is determined to be illegal, invalid, or unenforceable, it shall not render any other provision of this Agreement unenforceable or invalid and it is the intention of the parties that the validity and enforceability of the remaining provisions of this Agreement shall not be affected.

HEADINGS
All headings are intended for reference only and are not to be construed as part of the Agreement.

ENFORCEMENT
You agree to hold the Credit Union harmless for all expenses and costs, including attorneys' fees and court costs, incurred by the Credit Union in enforcing this Agreement. You agree to be liable to the Credit Union for any loss, cost or expense that the Credit Union incurs as a result of your failure to follow this Agreement. You authorize the Credit Union to deduct any such loss, costs, or expenses from your account without prior notice to you. In the event the Credit Union brings a legal action to enforce the Agreement or collect any amount due under this Agreement, the Credit Union shall be entitled, subject to applicable law, to payment of its reasonable attorneys' fees and costs, in cases, including, but not limited to, any trial on the merits, appeal, bankruptcy or insolvency proceedings, and any post-judgment collection actions.

PLACE OF PERFORMANCE AND VENUE
The obligations of each of the parties to this Agreement shall be performed at Austin, Travis County, Texas and the parties agree to apply to the Courts of Travis County, Texas for any legal action regarding this Agreement.

APPLICABLE LAW
This Agreement shall be governed by the Bylaws of the Credit Union, the laws and regulations of the United States of America, the laws, including principles of contract law, and regulations of the State of Texas, and local clearinghouse association rules as amended from time to time.
