CONSUMER BILL PAY TERMS AND CONDITIONS

THE FOLLOWING TERMS AND CONDITIONS ARE APPLICABLE ONLY TO SERVICES WHICH ARE PROVIDED IN CONNECTION WITH CONSUMER ACCOUNTS HELD AT STELLER BANK. FOR PURPOSES OF THESE CONSUMER BILL PAY TERMS AND CONDITIONS (THIS "CONSUMER AGREEMENT"), A CONSUMER ACCOUNT MEANS A DEPOSIT ACCOUNT THAT IS ESTABLISHED AND USED PRIMARILY FOR PERSONAL, FAMILY AND HOUSEHOLD PURPOSES, AND THAT IS NOT ESTABLISHED OR USED PRIMARILY FOR BUSINESS OR COMMERCIAL PURPOSES. FOR SERVICES IN CONNECTION WITH ACCOUNTS THAT ARE ESTABLISHED OR USED PRIMARILY FOR BUSIENSS OR COMMERCIAL PURPOSES, PLEASE REFER TO THE COMMERCIAL BILL PAY TERMS AND CONDITIONS WHICH ARE INCLUDED ELSEWHERE IN THIS PACKAGE.

Effective Date: October 13, 2025

You may use the Stellar Bank, bill pay service to direct Stellar Bank to make payments from your designated Account to the Payees you choose in accordance with this Consumer Agreement. The terms and conditions of this Consumer Agreement, in addition to the account agreements, online banking agreements, disclosures and other documents in effect from time to time, govern your Account and your use of the Bill Pay Service. Your use of the Bill Pay Service constitutes your acceptance of the terms and conditions of this Consumer Agreement.

Definitions

"Account" shall mean the consumer-purpose account held at the Bank for which you are an authorized signer and from which the Bank may debit or otherwise collect the funds and fees necessary to remit the scheduled payment to the corresponding Payee, per your instructions.
"Consumer Agreement" means the terms and conditions set forth these Consumer Bill Pay Terms, along with any other instructions, disclosures or user guides relating to the Service that we may provide to you from time to time.
"Available Funds" means funds which are available, as determined by our processing systems, for payments to be made using the Service from your designated payment Account.
"Bill Pay Service" or the "Service" means the Consumer Bill Pay Service offered by Steller Bank for use in connection with consumer-purpose accounts held by the Bank and which is governed by the terms and conditions of this Consumer Agreement.
"Bank", "Financial Institution", "we" or "us" refers to Stellar Bank
"Business Date" or "Business Day" means Monday through Friday excluding Bank holidays.
"Check Payments" means a physical check that is sent by us, or by our selected third-party service provider (referred to herein as a "Check Provider") to your designated Payee.
"Cut-off Time" means the time of day that payments made through the Service will be processed on each Business Day. The current Cut-off Time for the Bill Pay Service is 2:00 PM Central Time on each Business Day. The Bank may change the Cut-off Time without prior notice to you. Payments initiated or processed after the applicable Cut-off Time will be processed on the next Business Day.
"Electronic Payments" are payments made by us on your behalf by electronic or by other means, other than a physical check. Automated Clearing House (ACH) or a pre-paid card payment, which is unique electronically generated card number specifically designed for a single payment, are Electronic Payments for purposes of this Consumer Agreement.
"Non-Business Date" or "Non-Business Day" means Saturday, Sunday or a Bank holiday.
"Payee" refers to anyone that you designate to pay using the Service, and that the Bank accepts as a Payee.
"Pay a Person" refers to a Payee that is an individual.
"you" or "your" refers to the customer of the Bank that owns the designated Account for which the Service is used, and each person authorized on behalf of that customer to use the Bill Pay Service.
"Payment Status" refers to the status of a payment request shown within the online Service. Definitions for each Payment Status are as follows:
- Not Processed: Payment that failed funds verification and will not be processed.
- Paid: Payment that has passed funds verification process and been sent.
- Processed: The Bank has determined that funds are available for payment ("funds verification process") but the payment has not yet been sent.
- Refunded: Payment was returned and credited to your Account. You will receive notification of the return by secure message in the online banking system.
- Scheduled: Payment has been scheduled but the applicable payment date has not yet arrived.
- Stopped: Payment stopped by you prior to the payment being processed.

Service Fees

Except with respect to fees for Enhanced Services or for Check Rush Payments, which are described below, there is no charge for using Stellar Bank Standard Bill Pay Service.
Fees for Enhanced Services, which are assessed at the time the service is processed, are as follows:
- Charitable Donations - $1.99 per payment
- Gift Check Payments - $2.99 per payment
- Electronic Rush Payments - $6.95 per payment

Check Rush Payments (excludes weekends and holidays)
- Expedited payments by check (Overnight Delivery) - $34.95 per payment
- Expedited Payment by check (2nd Day Delivery) - $29.95 per payment

Fees are reviewed periodically and are subject to change at any time in the Bank's sole discretion. In addition to the fees described above, other fees may apply as established in the applicable fee schedule.
Accessing the Bill Pay Service: Bill Pay Service and Pay a Person are available within Stellar Bank Online Banking Service.

Bill Pay Service Description

Provision of Payment Information. You agree to provide such information as we may request from time to time in order to process payment transactions you initiate through the Bill Pay Service. This information may include, for example, the name and address of the Payee and any applicable Payee account number. You are responsible for ensuring that the information you provide is current, accurate, and complete, and you assume responsibility for any transaction error that results from stale, inaccurate, or incomplete information furnished or entered into the Service application by you. If you wish to amend any payment or Payee information you have provided, you must follow applicable Service instructions for doing so. We shall have a reasonable opportunity to process any amended information, and amended information submitted by you may not be applied to transactions already in process. You acknowledge and agree that we may edit or alter data or data formats according to the Payee's directives and/or in order to process payment transactions more efficiently.

Payee Participation. We make no representation or warranty that any Payee you wish to pay through the Bill Pay Service will participate as a Payee in the Service or be able to receive payments initiated through the Service. We reserve the right to restrict the categories of Payees that may be paid through the Service. We further reserve the right, to the fullest extent permitted by law, not to complete any payment to any Payee in the event we, in our sole and absolute discretion, deem ourselves or our assets insecure or subject to unreasonable exposure or risk. We further reserve the right to refuse to make any payment we believe are fraudulent or erroneous.
In the event that we are unable to, or decline to, process or complete payments to a Payee, we will notify you (however, we may not notify you if the transaction is otherwise prohibited by this Consumer Agreement). We will not be liable to you in the event any Payee does not, cannot or refuses to accept payments initiated through the Service, or in the event any payment submitted to a Payee is returned, or in the event any Payee delays posting or fails to post any payment to your account with the Payee, or in the event we exercise our right to decline to complete payments to any Payee.

Consumer Use Only. You agree that you will use the Service solely to make payments for personal and household purposes, and not for any business or commercial purpose.

Single Payments. A payment that you initiate as a single payment will be processed on the Business Date that you designate as the payments processing date, provided the payment is submitted prior to the daily Cut-off Time on that date. A single payment submitted after the Cut-off Time on the designated process date will be submitted on the next Business Date.

Recurring Payments. Once a recurring payment has been processed, it is automatically scheduled by the system for payment to be sent in accordance with your series options/preferences. After that payment has been made, based upon your selected frequency settings for the payment, a processing date is calculated for the next occurrence of the payment.

Method for Making Payments. We reserve the right to select, in our sole discretion, the method by which to remit any payment on your behalf to any Payee. Methods we select may include an Electronic Payment, a check made payable to the Payee and drawn on our account, a check made payable to the Payee and drawn on your Account, or any other method for remittance of funds that we may elect to use. In addition, certain payments may be processed using a prepaid, single use virtual card. Please note in the event your payment is processed using a virtual card, you will not recognize the payment method and/or card numbers on any payment confirmation communication you may receive from your Payee. When you use the Bill Pay Service to enter instructions for a payment, you authorize us to complete the payment using any of these methods.
If we elect to remit a Payment by means of check drawn on your Account, you expressly authorize us to execute such check on your behalf notwithstanding any resolution, signature card, or other document filed with us that purports to limit authority over your payment Account (including, without limitation, any document which provides for multiple signatures on any check or draft), whether currently on file or submitted or modified in the future.

Insufficient Funds; Failed Payments. You agree to submit instructions for a payment only when there are or will be sufficient funds in the Account to cover both that payment and any other items or charges to be paid from the Account. If there are insufficient funds in your Account to complete a payment transaction you have initiated, we may either refuse to process the transaction or complete the transaction, with or without overdrawing the Account, in our sole and absolute discretion. Subject to the requirements of applicable law, you are responsible for the amount of any payment transaction we complete on your behalf, as well as applicable fees and charges, whether or not your Account becomes overdrawn. Our election to execute any payment transaction if or when you have insufficient funds in your Account to cover such transaction in no way obligates us to execute any other payment transaction if or when you have insufficient funds. You further agree that:

(i) Upon demand, you will reimburse us immediately in the amount of any payment transaction that we have executed on your behalf;
(ii) We may make repeated attempts in our discretion to debit your Account for the amount of any payment transaction that we execute on your behalf, including, but not limited to, debit by ACH transaction;
(iii) If we complete a payment transaction on your behalf and you do not have sufficient available funds in your payment Account to cover such transaction, (x) we may assess our standard paid overdraft item/returned item fee, as in effect and disclosed in our pricing schedules at such time, against your Account, whether or not we overdraw your Account, and/or (y) we may cancel, suspend, or limit your use of the Bill Pay Service and/or your Account without notice, and/or exercise any other rights or remedies available to us;
(iv) You will reimburse us for any fees or costs we incur in attempting to collect the amount of any executed payment transaction from you to the fullest extent allowed by law and your account agreements with us; and
(v) We are authorized to report the facts concerning the collection or recovery of any payment transaction to any credit or consumer reporting agency.

Timing of Payments made to Payee. The time frames in which Payees will receive payments made through the Service generally will be determined by the method by which payment is sent to the Payee. If we send a paper check in the U.S. Postal system, we typically suggest sufficient time as ten (10) Business Days prior to the Payee's receiving the payment for processing at their address. If the Payee accepts the payment electronically, we generally define sufficient time as a payment that is initiated five (5) Business Days prior to the Payee's expected receipt of the payment.

Timing for Debits from Your Account

The date upon which funds for bill payments will be withdrawn from Your Account depends upon the date that was selected to process the payment and the method for making the payment. Timing for withdrawal with respect to each type of payment is as follows:

Electronic Payment. Funds for Electronic Payments are verified for funds availability during processing. If the funds are available, the Account that you selected for payment will be debited and payment will be processed. Processing times for Electronic Payments are described in the section above, entitled Bill Pay Service Description.

Check Payments. When we or our Check Provider receives a payment instruction through our online Bill Pay service for a payment(s) that will be sent via a paper check, you authorize us or our Check Provider to process a paper check to the designated Payee on your behalf. Funds for Check Payments will be verified at the time the payment is processed by us or our Check Provider, and you authorize us or the Check Provider to debit your Account for the amount of the check at that time. You acknowledge that funds representing Check Payments may be withdrawn from your Account prior to the time that the check is mailed and delivered to the Payee, and prior to the time that check is presented for payment. Our Check Provider may issue a check drawn on its own account made payable to your designated Payee. You further authorize us or our Check Provider to credit your Account for payments returned by the United States Postal Service or the Payee.

If the scheduled payment processed through the Bill Pay system is declined, it will automatically be rescheduled for the following Business Day. The Bill Pay system will send a notification to the email address on file. The Bill Pay system will continue to attempt to pay the bill on the following Business Days, for up to two (2) additional Business Days.

Depending on the method we choose for remittance of a payment, funds for the payment may be debited from your Account electronically on or about the scheduled payment date or may not be debited until the payment item we issued to the Payee is presented for payment, which may be before or after the scheduled payment date. You are responsible for ensuring that sufficient funds will be available in the Account whenever that payment item might be presented.

Notwithstanding the foregoing, to the fullest extent allowed by law, we reserve the right to debit your Account in the amount of any scheduled payment at the time you enter instructions for the payment or at any time thereafter as we deem necessary or convenient to ensure the successful completion of the payment.

Payees

Without limiting your obligation to provide information as required by this Consumer Agreement, the following information will be required in connection with the specified type of payment made using the Service.
Bill Pay. You must have the following to establish a Payee: Payee's name and address, phone number and account number.
Pay a Person. You must have the following to establish a Payee: Payee's name, email address, amount of payment and keyword. A "Keyword" is any word the Payee will remember to be used as a password to the payment system.
The Bank reserves the right to refuse the designation of a Payee for any reason in accordance with applicable law. The Payee account for Electronic Payments must be held with a financial institution within the United States.

Limits and Stop Payments

Limits. The daily limit for the total dollars of payments approved for initiation using the Service is governed by the available balance, as determined by the Bank's processing systems, in the checking Account selected for making the payment and any
other limits that may be set by the Bank in it is sole discretion from time to time. You may generally withdraw up to the available balance in the Account as long as your Account shows sufficient funds to cover your payments.

Canceling a Payment. A bill payment can be changed or canceled any time prior to the Cut-off Time on the scheduled processing date.

Stop Payments. You may be able to cancel a scheduled payment within the Service prior to the time that the payment has been processed by us. After a payment has processed, you may no longer cancel or stop the payment using the Service. If the payment has already been processed and/or may no longer be cancelled using the Service, you must contact Bill Pay Support directly at the telephone number that is included at the end of this Consumer Agreement. We will attempt to assist you in cancelling or otherwise stopping the payment. However, we make no guarantees regarding our ability to stop or cancel any payment after it has been processed. A stop payment may be automatically issued for an uncleared check payment on the 90th calendar day that the item was issued.

Liability for Unauthorized Transfers.

THE DISCLOSURES AND TERMS IN THIS SECTION ARE APPLICABLE ONLY TO THE EXTENT THAT USE OF THE SERVICE DESCRIBED IN THIS AGREEMENT AND/OR THE SERVICE ACCOUNTS RELATED TO THE USE OF THE SERVICES ARE PRIMARILY FOR PERSONAL, FAMILY, OR HOUSEHOLD USE. SUCH DISCLOSURES AND TERMS DO NOT APPLY TO THE EXTENT THAT USE OF THE SERVICES IS FOR NON-CONSUMER PURPOSES.

Your liability for unauthorized transfers which constitute "Electronic Funds Transfers" under the Electronic Funds Transfer Act (the "EFT Act") and its implementing Regulation E is governed by applicable regulations, and is described in the Electronic Funds Transfer Disclosures which have previously been provided to you. You should also refer to the related provisions of this Consumer Agreement relating to Electronic Funds Transfers. A copy of the Electronic Funds Transfer Disclosures will be made available to you upon request.

Certain types of transactions that are handled completely or partially by electronics are subject to EFT Act. These include certain transactions that can be made using the Services described in this Consumer Agreement. Your rights, protection, and liabilities as a consumer are outlined in our Electronic Funds Transfer Disclosures and in the following sections of this Consumer Agreement in accordance with the EFT Act. Our obligations and liabilities are also summarized for you. Please read and become familiar with all parts of this section and our Electronic Funds Transfer Disclosures. Be sure to retain the telephone numbers and addresses found at the end of this Consumer Agreement that you may need in order to limit your liability and to resolve problems that you may have concerning electronic transfers. This section supplements other Electronic Funds Transfer Disclosures that you received in connection with other electronic fund transfer services affecting your Accounts.

Right to Receive Documentation of Transfers. All fund transfers completed through the Service will appear on your periodic statement for your applicable Account. You will receive a periodic statement each month for each Account from which or into which a fund transfer through the Service has been completed during the month. For all other Accounts, you will receive a periodic statement at least quarterly, or as required by applicable law or the terms of the respective agreements governing such Accounts. The periodic statement will include a description of the transactions completed through the Service.
Your Liability for Unauthorized Transfers; Advisability of Prompt Reporting. An unauthorized transfer means a transfer from your Account that is initiated by another person without your authority to initiate the transfer and from which you receive no benefit. The term does not include any transfer that is initiated by a person who was furnished with your login ID and password (referred to collectively herein as your "access credentials") by you, and your furnishing of such access credentials was not due to fraud, unless you have notified us that transfers by that person are no longer authorized and we have had reasonable opportunity to act on that notification.

Tell us AT ONCE by contacting us using the information provided at the end of this Consumer Agreement if you believe your access credentials have been lost or stolen or if you believe an electronic funds transfer has been made that has not been authorized by you. Telephoning is the best way of keeping your possible losses down. You could lose all your money in your Account. If you tell us within two (2) Business Days after you learn of the loss or theft, you can lose no more than $50.00 if someone used your access credentials without your permission.

If you do NOT tell us within two (2) Business Days after you learn of the loss or theft of your access credentials, and we can prove we could have stopped someone from using your access credentials without your permission if you had told us, you could lose as much as $500.00. Also, if your periodic statement shows transfers that you did not make, tell us at once. If you do not tell us within sixty (60) days after the statement was provided to you, you may not get back any money you lost after the sixty (60) days if we can prove that we could have stopped someone from taking the money if you had notified us in time. If we determine that extenuating circumstances kept you from telling us, we may extend the time periods.
In Case of Errors or Questions about Your Electronic Transfers. Telephone us or write us at the telephone number or address included at the end of this Consumer Agreement as soon as you can if you think your statement is wrong or if you need more information about a transfer listed on the statement. We must hear from you no later than sixty (60) days after we sent the FIRST statement on which the problem or error appeared.

You must:
- Tell us your name and the Account number.
- Describe the error or the transaction you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information.
- Tell us the dollar amount of the suspected error.

If you tell us orally, we may require that you send us your complaint or question in writing within ten (10) Business Days. We will determine whether an error occurred within ten (10) Business Days after we hear from you and will correct any error promptly. If we need more time, however, we may take up to forty-five (45) days to investigate your complaint or question. If we decide to do this, we will credit your Account within ten (10) Business Days for the amount you think is in error, so that you will have the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within ten (10) Business Days, we may not credit your Account. For errors involving new Accounts, we may take up to ninety (90) days to investigate your complaint or question. For new Accounts, we may take up to twenty (20) Business Days to credit your Account for the amount you think is in error. We will tell you the results within three (3) Business Days after completing our investigation. If we decide that there was no error, we will send you a written explanation. You may ask for copies of the documents that we used in our investigation. If you need more information about our error-resolution procedures, call us at the customer service number provided at the end of this Consumer Agreement.
Your Responsibility for Safeguarding Access Credentials. You are solely responsible for controlling the safekeeping of and access to your login ID and password for Stellar Bank, Online Banking. You agree not to give out or make available your login ID and password to any unauthorized individual. Additional terms and conditions regarding security procedures which are applicable to the Bill Pay Service are contained in the online banking agreement which has been entered between you and the Bank.

Your Submission of Erroneous or Duplicate Payments. You will be responsible for any payment request you make using the Bill Pay Service that contains an error or is duplicate of another payment. The Bank is not responsible for any payment request that is not made if you do not follow the instructions for making the payment.

Limitations on Bank Liability. The Bank is not liable for any failure to make a bill payment if you fail to notify the Bank promptly after you learn you have not received credit by the Payee for a payment.

The Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any Payee or transmission or communications facility, and no such party shall be deemed to be the Bank's agent. The Bank also is not liable for any act, failure to act or delay in acting if it is caused in whole or part, by any cause beyond the Bank's reasonable control.

In any event, the Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Service or Consumer Agreement, even if the Bank had knowledge of such losses, damages or expenses.

Amendment

The Bank has the right to change this Consumer Agreement at any time by notice mailed to you at the last address shown for the account on the Bank's records. The Bank may also provide notice of changes by posting notices in branches, or by electronic acceptance and agreement to accept and agree to the terms and conditions within the Stellar Bank Online Banking System, or as otherwise permitted by law. Unless an immediate change in the terms of this Consumer Agreement is necessary to maintain or restore the security of an account or an electronic fund transfer system or to comply with applicable law, the Bank will provide you a written notice at least 21 days in advance of any change that would increase your fees or liability, or offer fewer types of available electronic funds transfers, or impose stricter limitations on the frequency or dollar amount of payments. Your continued use of the Service after the effective date of any Amendment for which we have provided notice constitutes your agreement and acceptance of the Amendment.

Termination

The Bank has the right to terminate this Consumer Agreement at any time and for any reason in its sole and absolute discretion.
You may terminate this Consumer Agreement at any time by written notice to the Stellar Bank at the address listed in this Consumer Agreement. The Bank is not responsible for any scheduled payment made before the Bank has a reasonable opportunity to act on your termination notice.
You remain obligated for any payments made by the Bank on your behalf.

Governing Law/Severability

Regardless of where you live, work, or access the Service, this Consumer Agreement shall be governed by and construed in accordance with the laws of Texas. In the event any one or more of the provisions of this Consumer Agreement will for any reason become invalid, illegal, or unenforceable, the remaining provisions will remain valid and enforceable.

Confidentiality

You hereby authorize the Bank to disclose information to third parties about your Account or the transfers you make using the Service:

(i) Where it is necessary for completing transfers.
(ii) In order to verify the existence and condition of your Account for a third party, such as a credit bureau or merchant.
(iii) Where it is necessary to track or verify receipt or non-receipt by a Payee of a payment initiated using the Service.
(iv) Where it is necessary to determine whether or in what form a Payee may receive payments initiated using the Service.
(v) In order to comply with government agency or court orders.
(vi) If you give the Bank your written permission.
(vii) Otherwise in accordance with the Bank's privacy policy.

FOR SERVICES IN CONNECTION WITH ACCOUNTS THAT ARE ESTABLISHED OR USED PRIMARILY FOR PERSONAL, FAMILY OR HOUSEHOLD PURPOSES, PLEASE REFER TO THE CONSUMER BILL PAY TERMS AND CONDITIONS WHICH ARE INCLUDED ELSEWHERE IN THIS PACKAGE.

Effective Date: October 13, 2025

You may use the Stellar Bank, bill pay service to direct Stellar Bank to make payments from your designated Account to the Payees you choose in accordance with this Commercial Agreement. The terms and conditions of this Commercial Agreement, in addition to the account agreements, online banking agreements, any applicable treasury management services agreement, as well as any disclosures and other documents in effect from time to time, govern your Account and your use of the Bill Pay Service. In the event of any irreconcilable conflict between this Commercial Agreement and any applicable treasury management services agreement between you and the Bank, the terms of the treasury management services agreement will govern. Your use of the Bill Pay Service constitutes your acceptance of the terms and conditions of this Commercial Agreement.

Definitions

"Account" shall mean the commercial or business account held at the Bank for which you are an authorized signer and from which the Bank may debit or otherwise collect the funds and fees necessary to remit the scheduled payment to the corresponding Payee, per your instructions.
"Commercial Agreement" means the terms and conditions set forth these Business Bill Pay Terms, along with any other instructions, disclosures or user guides relating to the Service that we may provide to you from time to time.
"Available Funds" means funds which are available, as determined by our processing systems, for payments to be made using the Service from your designated payment Account.
"Bill Pay Service" or the "Service" means the Business Bill Pay Service offered by Steller Bank for use in connection with commercial or business accounts held by the Bank and which his governed by the terms and conditions of this Commercial Agreement.
"Bank", "Financial Institution", "we" or "us" refers to Stellar Bank
"Business Date" or "Business Day" means Monday through Friday excluding Bank holidays.
"Check Payments" means a physical check that is sent by us, or by our selected third-party service provider (referred to herein as a "Check Provider") to your designated Payee.
"Cut-off Time" means the time of day that payments made through the Service will be processed on each Business Day. The current Cut-off Time for the Bill Pay Service is 2:00 PM Central Time on each Business Day. The Bank may change the Cut-off Time without prior notice to you. Payments initiated or processed after the applicable Cut-off Time will be processed on the next Business Day.
"Electronic Payments" are payments made by us on your behalf by electronic or by other means, other than a physical check. Automated Clearing House (ACH) or a pre-paid card payment, which is unique electronically generated card number specifically designed for a single payment, are Electronic Payments for purposes of this Commercial Agreement.
"Non-Business Date" or "Non-Business Day" means Saturday, Sunday or a Bank holiday.
"Payee" refers to anyone that you designate to pay using the Service, and that the Bank accepts as a Payee.
"Pay a Person" refers to a Payee that is an individual.
"you" or "your" refers to the commercial customer of the Bank that owns the designated Account for which the Service is used, and each person authorized on behalf of that customer to use the Bill Pay Service.
"Payment Status" refers to the status of a payment request shown within the online Service. Definitions for each Payment Status are as follows:

- Not Processed: Payment that failed funds verification and will not be processed.
- Paid: Payment that has passed funds verification process and been sent.
- Processed: The Bank has determined that funds are available for payment ("funds verification process") but the payment has not yet been sent.
- Refunded: Payment was returned and credited to your Account. You will receive notification of the return by secure message in the online banking system.
- Scheduled: Payment has been scheduled but the applicable payment date has not yet arrived.
- Stopped: Payment stopped by you prior to the payment being processed.

Service Fees

Except with respect to fees for Enhanced Services or for Check Rush Payments, which are described below, there is no charge for using Stellar Bank Standard Bill Pay Service.
Fees for Enhanced Services, which are assessed at the time the service is processed, are as follows:

- Charitable Donations - $1.99 per payment
- Gift Check Payments - $2.99 per payment
- Electronic Rush Payments - $6.95 per payment

Check Rush Payments (excludes weekends and holidays)
- Expedited payments by check (Overnight Delivery) - $34.95 per payment
- Expedited Payment by check (2nd Day Delivery) - $29.95 per payment

Fees are reviewed periodically and are subject to change at any time in the Bank's sole discretion. In addition to the fees described above, other fees may apply as established in the applicable fee schedule.
Accessing the Bill Pay Service: Bill Pay Service and Pay a Person are available within Stellar Bank Online Banking Service.

Bill Pay Service Description

Provision of Payment Information. You agree to provide such information as we may request from time to time in order to process payment transactions you initiate through the Bill Pay Service. This information may include, for example, the name and address of the Payee and any applicable Payee account number. You are responsible for ensuring that the information you provide is current, accurate, and complete, and you assume responsibility for any transaction error that results from stale, inaccurate, or incomplete information furnished or entered into the Service application by you. If you wish to amend any payment or Payee information you have provided, you must follow applicable Service instructions for doing so. We shall have a reasonable opportunity to process any amended information, and amended information submitted by you may not be applied to transactions already in process. You acknowledge and agree that we may edit or alter data or data formats according to the Payee's directives and/or in order to process payment transactions more efficiently.

Payee Participation. We make no representation or warranty that any Payee you wish to pay through the Bill Pay Service will participate as a Payee in the Service or be able to receive payments initiated through the Service. We reserve the right to restrict the categories of Payees that may be paid through the Service. We further reserve the right, to the fullest extent permitted by law, not to complete any payment to any Payee in the event we, in our sole and absolute discretion, deem ourselves or our assets insecure or subject to unreasonable exposure or risk. We further reserve the right to refuse to make any payment we believe are fraudulent or erroneous.

In the event that we are unable to, or decline to, process or complete payments to a Payee, we will notify you (however, we may not notify you if the transaction is otherwise prohibited by this Commercial Agreement). We will not be liable to you in the event any Payee does not, cannot or refuses to accept payments initiated through the Service, or in the event any payment submitted to a Payee is returned, or in the event any Payee delays posting or fails to post any payment to your account with the Payee, or in the event we exercise our right to decline to complete payments to any Payee.

Commercial Use Only. You agree that you will use the Service solely to make payments for business or commercial purposes, and not for any personal or household purposes. For your convenience, the Bank may permit you to access certain of your consumer accounts (which are accounts that are established or used primarily for personal, family, or household purposes) through the Bank's business online banking platform. You acknowledge and agree that the terms and conditions of this Commercial Agreement are not applicable to any services provided in connection with such consumer accounts. Notwithstanding your access to any consumer accounts through the Bank's business online banking platform, you acknowledge that any bill-pay or related services offered in connection with such accounts will be subject to the Bank's consumer account agreements and disclosures, including the Consumer Bill Pay Terms and Conditions, which is contained elsewhere in this document package.

Single Payments. A payment that you initiate as a single payment will be processed on the Business Date that you designate as the payments processing date, provided the payment is submitted prior to the daily Cut-off Time on that date. A single payment submitted after the Cut-off Time on the designated process date will be submitted on the next Business Date.

Recurring Payments. Once a recurring payment has been processed, it is automatically scheduled by the system for payment to be sent in accordance with your series options/preferences. After that payment has been made, based upon your selected frequency settings for the payment, a processing date is calculated for the next occurrence of the payment.

Method for Making Payments. We reserve the right to select, in our sole discretion, the method by which to remit any payment on your behalf to any Payee. Methods we select may include an Electronic Payment, a check made payable to the Payee and drawn on our account, a check made payable to the Payee and drawn on your Account, or any other method for remittance of funds that we may elect to use. In addition, certain payments may be processed using a prepaid, single use virtual card. Please note in the event your payment is processed using a virtual card, you will not recognize the payment method and/or card numbers on any payment confirmation communication you may receive from your Payee. When you use the Bill Pay Service to enter instructions for a payment, you authorize us to complete the payment using any of these methods.

If we elect to remit a Payment by means of check drawn on your Account, you expressly authorize us to execute such check on your behalf notwithstanding any resolution, signature card, or other document filed with us that purports to limit authority over your payment Account (including, without limitation, any document which provides for multiple signatures on any check or draft), whether currently on file or submitted or modified in the future.

Insufficient Funds; Failed Payments. You agree to submit instructions for a payment only when there are or will be sufficient funds in the Account to cover both that payment and any other items or charges to be paid from the Account. If there are insufficient funds in your Account to complete a payment transaction you have initiated, we may either refuse to process the transaction or complete the transaction, with or without overdrawing the Account, in our sole and absolute discretion. Subject to the requirements of applicable law, you are responsible for the amount of any payment transaction we complete on your behalf, as well as applicable fees and charges, whether or not your Account becomes overdrawn. Our election to execute any payment transaction if or when you have insufficient funds in your Account to cover such transaction in no way obligates us to execute any other payment transaction if or when you have insufficient funds. You further agree that:

(vi) Upon demand, you will reimburse us immediately in the amount of any payment transaction that we have executed on your behalf;
(vii) We may make repeated attempts in our discretion to debit your Account for the amount of any payment transaction that we execute on your behalf, including, but not limited to, debit by ACH transaction;
(viii) If we complete a payment transaction on your behalf and you do not have sufficient available funds in your payment Account to cover such transaction, (x) we may assess our standard paid overdraft item/returned item fee, as in effect and disclosed in our pricing schedules at such time, against your Account, whether or not we overdraw your Account, and/or (y) we may cancel, suspend, or limit your use of the Bill Pay Service and/or your Account without notice, and/or exercise any other rights or remedies available to us;
(ix) You will reimburse us for any fees or costs we incur in attempting to collect the amount of any executed payment transaction from you to the fullest extent allowed by law and your account agreements with us; and
(x) We are authorized to report the facts concerning the collection or recovery of any payment transaction to any credit or consumer reporting agency.

Timing of Payments made to Payee. The time frames in which Payees will receive payments made through the Service generally will be determined by the method by which payment is sent to the Payee. If we send a paper check in the U.S. Postal system, we typically suggest sufficient time as ten (10) Business Days prior to the Payee's receiving the payment for processing at their address. If the Payee accepts the payment electronically, we generally define sufficient time as a payment that is initiated five (5) Business Days prior to the Payee's expected receipt of the payment.

Timing for Debits from Your Account

The date upon which funds for bill payments will be withdrawn from Your Account depends upon the date that was selected to process the payment and the method for making the payment. Timing for withdrawal with respect to each type of payment is as follows:

Electronic Payment. Funds for Electronic Payments are verified for funds availability during processing. If the funds are available, the Account that you selected for payment will be debited and payment will be processed. Processing times for Electronic Payments are described in the section above, entitled Bill Pay Service Description.

Check Payments. When we or our Check Provider receives a payment instruction through our online Bill Pay service for a payment(s) that will be sent via a paper check, you authorize us or our Check Provider to process a paper check to the designated Payee on your behalf. Funds for Check Payments will be verified at the time the payment is processed by us or our Check Provider, and you authorize us or the Check Provider to debit your Account for the amount of the check at that time. You acknowledge that funds representing Check Payments may be withdrawn from your Account prior to the time that the check is mailed and delivered to the Payee, and prior to the time that check is presented for payment. Our Check Provider may issue a check drawn on its own account made payable to your designated Payee. You further authorize us or our Check Provider to credit your Account for payments returned by the United States Postal Service or the Payee.

If the scheduled payment processed through the Bill Pay system is declined, it will automatically be rescheduled for the following Business Day. The Bill Pay system will send a notification to the email address on file. The Bill Pay system will continue to attempt to pay the bill on the following Business Days, for up to two (2) additional Business Days.

Depending on the method we choose for remittance of a payment, funds for the payment may be debited from your Account electronically on or about the scheduled payment date or may not be debited until the payment item we issued to the Payee is presented for payment, which may be before or after the scheduled payment date. You are responsible for ensuring that sufficient funds will be available in the Account whenever that payment item might be presented.

Notwithstanding the foregoing, to the fullest extent allowed by law, we reserve the right to debit your Account in the amount of any scheduled payment at the time you enter instructions for the payment or at any time thereafter as we deem necessary or convenient to ensure the successful completion of the payment.

Payees

Without limiting your obligation to provide information as required by this Commercial Agreement, the following information will be required in connection with the specified type of payment made using the Service.
Bill Pay. You must have the following to establish a Payee: Payee's name and address, phone number and account number.

Pay a Person. You must have the following to establish a Payee: Payee's name, email address, amount of payment and keyword. A "Keyword" is any word the Payee will remember to be used as a password to the payment system.

The Bank reserves the right to refuse the designation of a Payee for any reason in accordance with applicable law. The Payee account for Electronic Payments must be held with a financial institution within the United States.

Limits and Stop Payments

Limits. The daily limit for the total dollars of payments approved for initiation using the Service is governed by the available balance, as determined by the Bank's processing systems, in the checking Account selected for making the payment and any other limits that may be set by the Bank in it is sole discretion from time to time. You may generally withdraw up to the available balance in the Account as long as your Account shows sufficient funds to cover your payments.

Canceling a Payment. A bill payment can be changed or canceled any time prior to the Cut-off Time on the scheduled processing date.

Stop Payments. You may be able to cancel a scheduled payment within the Service prior to the time that the payment has been processed by us. After a payment has processed, you may no longer cancel or stop the payment using the Service. If the payment has already been processed and/or may no longer be cancelled using the Service, you must contact Bill Pay Support directly at the telephone number that is included at end of this Commercial Agreement. We will attempt to assist you in cancelling or otherwise stopping the payment. However, we make no guarantees regarding our ability to stop or cancel any payment after it has been processed. A stop payment may be automatically issued for an uncleared check payment on the 90th calendar day that the item was issued.

Liability for Unauthorized Transfers

You are solely responsible for controlling the safekeeping of and access to your login ID and password for Stellar Bank, Online Banking. You agree not to give out or make available your login ID and password to any unauthorized individual. Additional terms and conditions regarding security procedures which are applicable to the Bill Pay Service are contained in the online banking agreement and in any applicable Treasury Management Services Agreement which have been entered between you and the Bank.

You will be responsible for any payment request you make using the Bill Pay Service that contains an error or is duplicate of another payment. The Bank is not responsible for any payment request that is not made if you do not follow the instructions for making the payment.

The Bank is not liable for any failure to make a bill payment if you fail to notify the Bank promptly after you learn you have not received credit by the Payee for a payment.

The Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any Payee or transmission or communications facility, and no such party shall be deemed to be the Bank's agent. The Bank also is not liable for any act, failure to act or delay in acting if it is caused in whole or part, by any cause beyond the Bank's reasonable control.

In any event, the Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Service or Commercial Agreement, even if the Bank had knowledge of such losses, damages or expenses.

Amendment

The Bank has the right to change this Commercial Agreement at any time by notice mailed to you at the last address shown for the account on the Bank's records. The Bank may also provide notice of changes by posting notices in branches, or by electronic acceptance and agreement to accept and agree to the terms and conditions within the Stellar Bank Online Banking System, or as otherwise permitted by law. Unless an immediate change in the terms of this Commercial Agreement is necessary to maintain or restore the security of an account or an electronic fund transfer system or to comply with applicable law, the Bank will provide you a written notice at least 21 days in advance of any change that would increase your fees or liability, or offer fewer types of available electronic funds transfers, or impose stricter limitations on the frequency or dollar amount of payments. Your continued use of the Service after the effective date of any Amendment for which we have provided notice constitutes your agreement and acceptance of the Amendment.

Termination

The Bank has the right to terminate this Commercial Agreement at any time and for any reason in its sole and absolute discretion.

You may terminate this Commercial Agreement at any time by written notice to the Stellar Bank at the address listed in this Commercial Agreement. The Bank is not responsible for any scheduled payment made before the Bank has a reasonable opportunity to act on your termination notice.
You remain obligated for any payments made by the Bank on your behalf.

Indemnification

As a business entity or an individual performing transactions from a business account, You agree to indemnify the Bank and hold it harmless from and against any and all claims, demands, expenses (including but not limited to reasonable attorney fees and costs), losses or damages claimed by any third parties, including but not limited to any company representatives or other persons authorized to perform transaction, arising out of (i) any transactions or attempted transactions covered by this Commercial Agreement from a business account or (ii) your breach of this Commercial Agreement.

Governing Law/Severability

Regardless of where you live, work, or access the Service, this Commercial Agreement shall be governed by and construed in accordance with the laws of Texas. In the event any one or more of the provisions of this Commercial Agreement will for any reason become invalid, illegal, or unenforceable, the remaining provisions will remain valid and enforceable.

Confidentiality

You hereby authorize the Bank to disclose information to third parties about your Account or the transfers you make using the Service:

(i) Where it is necessary for completing transfers.
(ii) In order to verify the existence and condition of your Account for a third party, such as a credit bureau or merchant.
(iii) Where it is necessary to track or verify receipt or non-receipt by a Payee of a payment initiated using the Service.
(iv) Where it is necessary to determine whether or in what form a Payee may receive payments initiated using the Service.
(v) In order to comply with government agency or court orders.
(vi) If you give the Bank your written permission.
(vii) Otherwise in accordance with the Bank's privacy policy.
