Terms and Conditions

This agreement represents the terms and conditions governing the use of Notre Dame FCU’s Business On-Line Bill Pay, which jointly may be referred to as “service or services”. This Agreement is between Notre Dame Federal Credit Union (hereinafter referred to as “we, us, our or Credit Union”) and any individual person, authorized signer or business entity (hereinafter referred to as “you, your and yours”) that we permit to use the service subject to the terms and conditions of this Agreement. You understand that by using this service, you agree to the terms and conditions of the Agreement and authorize Notre Dame FCU’s bill pay service, Business Online Bill Pay, to direct Notre Dame FCU to make payments from your designated checking account to the “Payees” you choose in accordance with this Agreement. This Business Bill Pay Agreement (“Agreement”) supplements the other terms and conditions set forth in the Credit Union’s Business Membership and Account Services Agreement and Disclosure (the “Business Membership Agreement”). To the extent that there is any conflict between the terms and conditions of the Business Membership Agreement and this Agreement, the Agreement will govern.

Business Online Bill Pay
Notre Dame FCU Business Online Bill Pay service is a business electronic banking service designed to meet the needs of our business members.

Bill Paying Process

Single Payments- A single payment will be processed on the business day (generally Monday through Friday, except certain holidays) that you designate as the payment’s processing date, provided the payment is submitted prior to the daily cut-off time on that date. The daily cut-off time, which is controlled by the Credit Union, is currently 4 PM, EST. A single payment submitted after the cut-off time on the designated process date will be processed on the next business day. If you designate a non-business date (generally weekends and certain holidays) as the payment’s processing date, the payment will be processed on the first business day following the designated processing date.

Recurring Payments- When a recurring payment is processed, it is automatically rescheduled by the system. Based upon your selected frequency settings for the payment, a processing date is calculated for the next occurrence of the payment. If the calculated processing date is a non-business date (generally weekends and certain holidays), it is adjusted based upon the following rules:
• If the recurring payment’s “Pay Before” option is selected, the processing date for the new occurrence of the payment is adjusted to the first business date prior to the calculated processing date.
• If the recurring payment’s “Pay After” option is selected, the processing date for the new occurrence of the payment is adjusted to the first business date after the calculated processing date.
Note: If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for processing and that day does not exist in the month of the calculated processing date, then the last calendar day of that month is used as the calculated processing date.

Estimated Date of Arrival
For Single and Recurring Payments, you must allow at least five (5) business days, prior to the due date, for each bill payment to reach the Payee. Any bill payment can be changed or canceled, provided you notify the Credit Union prior to the cut-off time of 4:00 PM EST. You agree to have available and collected funds on deposit in the account you designate to pay for all bill payments requested, as well as, any other payment obligations you have to the Credit Union. The Credit Union reserves the right, without liability, to reject or reverse a bill payment if you fail to comply with this requirement or any other terms of the agreement. If you do not have sufficient funds in the account and the Credit Union has not exercised its right to reverse or reject a bill payment, you agree to pay for such payment obligations on demand. You further agree the Credit Union, at its option, may charge any of your accounts with the Credit Union to over such payment obligations. The Credit Union reserves the right to change the cut-off time. You will receive notice if it changes.
The system will calculate the Estimated Arrival Date of your payment. This is only an estimate, so please allow ample time for your payments to reach your “Payees”.

Payment Limitations
Notre Dame FCU reserves the right to refuse the designation of a Payee for any reason. Payments to Payee’s shall be limited to the United States, including U.S. territories and Army Post Offices (“APO/AEO’s”). Payments may not be remitted to tax authorities or government and collection agencies. Payments may not be remitted to security companies such as Ameritrade for stock purchases or trade taxing authorities. Court directed payments are unauthorized (Alimony, child support, or other legal debts). You are able to use the Business Online Bill Payment system to send payments to your son/daughter in college, pay your local orthodontist, credit cards, charitable donations, etc. A merchant is defined as anybody (company or individual) to whom you want to send money. We shall not be responsible for payments that cannot be made due to incorrect, incomplete, or outdated information.

Periodic Statements
You will not receive a separate statement regarding transactions you complete via the Business Online Bill Pay system. All such transactions will appear on the regular periodic statement for the account(s) that have been accessed and transactions performed via Business Online Bill Pay.

Liability
• You are solely responsible for controlling the safekeeping of and access to your Personal Identification Number (PIN), to prevent unauthorized use.
• You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority.
• If you want to terminate another person’s authority to use the Business Bill Pay service, you must notify the Credit Union and arrange to change the PIN.
• You will be responsible for any bill payment request you make that contains an error or is a duplicate of another bill payment.
• The Credit Union is not responsible for a bill payment that is not made if you did not properly follow the instructions for making a bill payment.
• The Credit Union is not liable for any failure to make a bill payment if you fail to promptly notify the Credit Union after you learn that you have not received credit from a “Payee” for a bill payment.
• The Credit Union is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Credit Union’s agent.
• In any event, the Credit Union will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Credit Union has knowledge of the possibility of them.
• The Credit Union is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Credit Union’s reasonable control.

Amendments
We have the right to change this Agreement at any time by notice mailed to you at the last known address we have shown on the account in the Credit Union’s records, by providing notice to you in such a manner that is deemed appropriate by the Credit Union. Continuing to use the business online bill pay service after you have received notice of the change, shall serve as your acceptance of the changes.

Termination
The Credit Union has the right to terminate this Agreement at any time. Additionally, you may terminate the Agreement by providing written notice to the Credit Union. If you provide such notice, we shall not be responsible for any scheduled or fixed payment made before we have reasonable opportunity to act on your termination notice. You remain obligated for any payments made by the Credit Union on your behalf.

Indemnification
As a business entity or an individual performing transactions from a business account, you agree to indemnify us and hold us harmless from and against any and all claims, demands, expenses (including but not limited to reasonable attorney fees and costs), losses or dames claimed by any third parties (including but not limited to any company representatives or other persons authorized to perform transaction) arising out of (i) any transactions or attempted transactions covered by this agreement from a business account or (ii) your breach of this agreement.

Governing Laws/Severability
Regardless of where you live, work or access our Online Banking services, this Agreement shall be governed by and construed in accordance with the laws of Indiana, in the even any one or more of the provisions of this Agreement will for any reason become invalid, illegal or unenforceable, the remaining provisions will remain valid and enforceable.

In the event you close your business checking account you agree to immediately contact us and to designate another account with us as your share draft account for purposes of receiving Business Online Bill Pay services. Under no circumstances will we be responsible for telephone of Internet Service Provider fees you incur to access the Business Online Bill Pay service.
