BILL PAYMENT AGREEMENT
This is your Bill Payment Agreement with Citizens Union Bank. You may use Citizens Union Bank's Bill Pay Service, to direct Citizens Union Bank to make payments from your designated checking account to the Payees you choose in accordance with this agreement. The terms and conditions of this Agreement are in addition to the Account Agreement and/or Terms and Conditions Disclosure governing your Account.
DEFINITIONS
Access ID - means an Access Identification Code used to securely access the Service.
Agreement - means these terms and conditions of the Service and each customer who has enrolled for the Service, together with any person who is authorized by a customer to access the Service (hereinafter referred together as you, your or yours.)
Business Day - is every Monday through Friday, excluding Federal Reserve Holidays.
Business Day Cutoff - refers to the cutoff time for posting purposes. The cutoff times are based upon our Business Days and the Eastern Time Zone. For posting purposes, we will process Online Banking transactions at the following cutoff times:
- Cash Management Files: 3:00 PM ET
- Wire Transfers, Stop Payments, Address Changes and Check Reorders: 3:00 PM ET
- Bill Pay: 4:00 PM ET
- Mobile Check Deposit: 4:00 PM ET
Transactions completed after the stated cutoff times, including transfers, may be processed on the following Business Day.
Consumer - refers to a natural person who owns an Eligible Account at this Citizens Union Bank and who uses the Service primarily for personal, family, or household purposes.
Delivery Date - refers to the date the payee is to receive the bill payment. It is also referred to as the Payment Date.
Electronic Funds Transfer (EFT) - refers to any transfer of funds initiated through the Service. If we grant transfer privileges through the Service, you have certain rights and responsibilities under the EFT Act (Reg E) which are further detailed within this Agreement.
Fees and or Charges - refers to costs associated with maintenance, restrictions, ancillary services, account activity or other account limitations as provided in our current Miscellaneous Fees and Charges Schedule and your Truth in Savings Disclosure received at account opening.
Financial Institution - means your Financial Institution
Online Banking - a method of banking in which transactions are conducted electronically via the Internet.
Passcode - refers to your password that is known solely by you and not by Citizens Union Bank or our Services Providers that you use to access the Service.
Payee - means anyone, including the Financial Institution, that your customer designates to pay and the Financial Institution accepts as a payee.
Payment Date - refers to the date chosen by the customer as to when their payee is to receive the bill payment, which equates to the Delivery Date in the payment calendar.
Process Date - refers to the system established date that the bill payment funds are debited from your checking account. This date is two business days prior to the chosen Payment Date (Delivery Date).
Recurring Payments - refers to a bill payment that is scheduled for the same dollar amount on the same day each month. You need only to set up a recurring payment once in the Service and only revisit the payment when it needs to be changed or canceled. Otherwise, your recurring payments will be made automatically.
Service - means the Online Banking and or Bill Pay and or Mobile Banking services offered by Citizens Union Bank through its Service Providers.
Service Provider - includes any agent, licensor, independent contractor, third party or subcontractor that this Financial Institution may involve in the provision of the Service. As used in this Agreement, we, us and our refer to this Financial Institution and/or its Service Providers, as the case may be.
Single Payments - refers to a one-time, non-recurring, bill payment.
PAYEES/PAYMENTS
Complete and submit a Bill Pay enrollment form. Once the request is processed and approved, then you may create your list of Payees. You may make payment(s) to persons or entities, only if they're on your authorized list of payees. You can add, delete or change information about a Payee or scheduled payment online or by speaking to a Bill Pay representative. Each Payee accepted by the Citizens Union Bank will be assigned a payee code and we reserve the right to refuse the designation of a Payee for any reason.
Designated Payee Restrictions:
- The merchant must be located in the United States
- International payments are unauthorized
- Payments may not be remitted to tax authorities or government and collection agencies
- Payments may not be remitted to security brokerage companies for stock purchases or trade taxing authorities and Court directed payments are unauthorized (e.g. alimony, child support or other legal debts)
MOBILE PAYEES/PAYMENTS
You will have the ability to add new payees, edit existing payees, or delete payees directly from your mobile device. Note: new payees added from a mobile device will result in payments being sent as paper checks. To see if the payee accepts electronic payments, the new Payee will need to be set up in Online Banking.
(End users will receive a security question (Multi Factor Authentication- MFA) only once during a Mobile Banking session. Example, if the end user was presented an MFA at login, they will not be presented an MFA again when adding and or editing a payee.)
Citizens Union Bank is not responsible if a Bill Payment cannot be made due to incomplete, incorrect or outdated information provided by you regarding a Payee or if you attempt to pay a Payee (persons or entities) that is not on your Authorized Payee list.
THE BILL PAYING PROCESS
Single Payments
A single payment's Process Date is established by the system. It is two business days (Monday through Friday, excluding Federal Holidays) prior to the Payment Date (Delivery Date) that you selected in the calendar, provided the payment is submitted prior to the daily cutoff time on that date. The daily cutoff time is currently 4:00 PM ET. Citizens Union Bank reserves the right to change the cutoff time; with electronic notification being sent securely to your Online Banking account and or a notice being posted to our website www.cubbank.com.
Recurring Payments
When a recurring payment is processed, it is automatically rescheduled by the system. A recurring payment's Process Date is two business days (Monday through Friday, excluding Federal Holidays) prior to the Delivery Date based on the Frequency settings and Payment Date you selected in the calendar. If the recurring Payment Date (Delivery Date) falls on a non-business day (weekends and Federal Holidays), it will be adjusted to the first business day prior to the designated Payment Date (Delivery Date) based on your Frequency settings. When this adjustment occurs, the Process Date is also adjusted and will be two business days (Monday through Friday, excluding Federal Holidays) prior to the adjusted Payment Date (Delivery Date).
Note: If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for delivery and that day does not exist in the month of the designated Payment Date (Delivery Date), then the last calendar day of that month is used as the designated Payment Date (Delivery Date).
For Single and Recurring Payments
You agree to have available and collected funds on deposit in the account you designate in amounts sufficient to pay for all bill payments requested, as well as, any other payment obligations you have to Citizens Union Bank. We reserve the right, without liability, to reject or reverse a bill payment if you fail to comply with this requirement or any other terms of this Agreement. If you do not have sufficient funds in the Account and we have not exercised our right to reverse or reject a bill payment, you agree to pay for such payment and any other overdraft fee/charge on demand. Also, we may deduct any such payment and or fee/charge from any Citizens Union Bank account in your name.
Changing and/or Cancelling a Bill Payment
A bill payment can be changed or canceled any time prior to the cutoff time on the scheduled processing date.
Available Funds
Funds not being available on the bill payment process date could result in NSF and/or Overdraft charges and/or your Bill Payment being canceled.
LIABILITY
You are solely responsible for controlling the safekeeping of, and access to, your Online Banking and Bill Pay Services. You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person's authority, you must notify Citizens Union Bank. You will be responsible for any Bill Payment request you make that contains an error or is a duplicate of another Bill Payment. Citizens Union Bank is not responsible for a Bill Payment that is not made if you did not properly follow the instructions for making a Bill Payment. Citizens Union Bank is not liable for any failure to make a Bill Payment if you fail to promptly notify Citizens Union Bank after you learn that you have not received credit from a Payee for a Bill Payment. Citizens Union Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be Citizens Union Bank's agent. In any event, Citizens Union Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if Citizens Union Bank has knowledge of the possibility of them. Citizens Union Bank is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond Citizens Union Bank's reasonable control.
Amendment and Termination
Citizens Union Bank has the right to change this Agreement at any time. You will be notified electronically via secure message within Online Banking Services, or as otherwise permitted by law.
Citizens Union Bank has the right to terminate this Agreement at any time. You may terminate this Agreement by written notice to Citizens Union Bank. Citizens Union Bank is not responsible for any fixed payment made before we have a reasonable opportunity to act on your termination notice. You remain obligated for any payments made by Citizens Union Bank on your behalf.
FEES/CHARGES
There is no fee/charge for the Consumer Bill Pay Service.
Additional Charges for Customer Requested Services
There will be NO Charge for any item if needed to correct a Citizens Union Bank error.

Citizens Union Bank reserves the right to fee/charge you for research time involving payments no longer available in your screen history. You will be informed of any such fees/charges before they are incurred.
