COMMUNITY CHOICE CREDIT UNION BUSINESS BILL PAYMENT AGREEMENT

This Agreement and Disclosure ("Agreement") provides information about and states the terms and conditions for Community Choice Credit Union "Business Bill Pay" bill payment service. This Agreement shall be an addendum to the existing Membership Account Agreement that you received upon opening your account with Community Choice Credit Union. The terms and conditions of your Membership Account Agreement, and any disclosures as well as any other agreements with Community Choice Credit Union shall remain in affect notwithstanding any provision in this Agreement to the contrary. If there are any Inconsistencies between terms and conditions of this Agreement and the terms and conditions of your Membership Account Agreement or other account related documents pertaining to bill payment services, the terms and conditions of this Agreement control.

As used in this Agreement the terms "you" and "your" refer to a business member who has
signed up for Business Bill Pay through having e-Banking access and who has a Business Checking Account with the Credit Union. The terms "we," "our," "us," or "Credit Union" refer to Community Choice Credit Union. All references to time of day in this Agreement refer to Eastern Standard/Daylight Time as observed in Detroit, Michigan, unless otherwise indicated.

A. Business Bill Pay
Community Choice Credit Union Business Bill Pay service is a business electronic banking service designed to meet the needs of our business members. You may become eligible by completing an application for these services, and signing up. To be eligible you must be a member in good standing at the Credit Union, utilize a United States mailing address, and you must have a Business Checking Account.

B. Equipment Specifications
You are responsible for obtaining, installing, maintaining, and operating all computer hardware, software, and Internet access necessary to access Business Bill Pay service. Generally speaking, our third party provider software supports recent versions of Microsoft® Internet Explorer and Netscape®. Users with other browsers may still be able to access the service, but may experience display or functionality problems as the system may not be fully optimized for other browser versions. Our third party provider system protects your data using 128-bit secure socket layer (SSL) encryption. You will be notified of system and modem specifications if they change. The Credit Union will not be responsible for any errors or losses resulting from the malfunction your hardware, software, or any Internet Service Provider, or for your failure to utilize hardware of other equipment that fails to meet the stated system and modem specifications, as may be amended from time to time.

C. Access to System
Once you have accepted this Agreement to use Community Choice Credit Union Business Bill Pay service, it may take up to two business days for your access to Business Bill Pay to become active. You must log in using procedures provided to you by us to gain access to Business Bill Pay. You will be required to enter your user name and password to access the Business Bill Pay service. You hereby agree to use the methods we require for you to utilize to access the system. These methods we require may be used with other identifying information to identify and verify you. You agree that the Credit Union is authorized to act and may act on instructions we receive under the agreed upon identification and verification method. You accept total responsibility for your account, account number, personal identification number (PIN) and any other code, password, or other means of identification we may provide to you and agree to keep them confidential and secure, and to follow all provisions of this Agreement related to security. Enabling your computer to memorize or save your password or other security codes shall be considered authorization for any subsequent use of your computer and access to the Business Bill Pay service by any other person.

Once enrolled you will generally have access to Business Bill Pay service twenty-four hours a day, seven days a week, unless an emergency exists or scheduled system maintenance is being performed. In the event the Services will not be available for any extended period of time, a notice will be posted on our website informing you of such unavailability. The Credit Union reserves the right and you agree that the Credit Union may limit, suspend, or terminate your access to Business Bill Pay at any time for any reason. We make no warranty of any kind, express or implied that Business Bill Pay will operate without errors or will be available and operational at all times.

D. Periodic Statements
You will NOT receive a separate statement regarding transactions you complete via the Business Bill Pay bill payment system. All such transactions will appear on the regular periodic statement for the account(s) that have been accessed and transactions performed via Business Bill Pay. You may also view account activity on the appropriate e-Banking and Business Bill Pay screens.


E. Security
You understand the importance of your role in preventing misuse of your accounts through Business Bill Pay and you agree to promptly review your statement for each of your accounts as soon as you receive it. You agree to protect the confidentiality of your account, account number, personal identification number (PIN) and any other code, password, or
other means of identification we may provide to you or that you select. These means of identification are intended to provide security against unauthorized entry or access to Business Bill Pay and your accounts. All data transferred to and from Business Bill Pay utilizes encryption technology consistent with industry standards to reasonably protect the security of data transferred and identification technology to verify that the sender and receiver of Business Bill Pay transmissions can be appropriately identified by each other. Use of such technology does not however guarantee information transmitted cannot be accessed by unauthorized third parties and you acknowledge that the Internet is inherently insecure. Except as otherwise required by law, you understand and agree that Community Choice Credit Union will not be liable for a breach of security in connection with the services offered in this Agreement. We cannot and do not warrant that all data transfers utilizing Business Bill Pay or e-mail transmitted to or by us, will not be monitored or read by others.

It is your sole responsibility to assure that your identification numbers, passwords or PINs are not revealed or otherwise made available to persons not authorized to access your accounts. You agree to assume all liability for your disclosure of your identification numbers, passwords or PINs to any person(s) or entities, and to assume all responsibility for transactions or other account activity performed by person(s) or entities to whom you have provided your identification numbers and password. You also agree to immediately notify us by telephone at (877) 243-2528 of any unauthorized use of your password, any access or
attempted access, transaction or attempted transaction, other account activity or attempted account activity, or any other breach of security.

By accessing your accounts via Business Bill Pay you represent and agree that you have considered the security procedures contained herein and find that they are commercially reasonable for verifying that a transfer or other communication purporting to
have been made by you is in fact yours. In reaching this conclusion you have considered the size, type, and frequency of transfers or other communications that you anticipate issuing through Business Bill Pay. If in your judgment these security procedures are
not commercially reasonable or circumstances change so that you believe the procedures are no longer commercially reasonable, you agree to notify us within thirty (30) days.

F. Fees and Charges
You agree to pay all fees and charges due and owing to us for use of Business Bill Pay and authorize payment of such fees via deduction from your business checking account or your share account. Fees and charges, if any, for use of Business Bill Pay shall be those listed in the current fee schedule. These fees shall be in addition to any regular transaction fees that may be in effect for accounts you access via Business Bill Pay. Please refer to the Fee Schedule you received upon opening your account with the Credit Union, which may be amended from time to time. The most current version of our Fee Schedule may be accessed on the web site itself.

In the event you close your business checking account you agree to immediately contact us and to designate another account with us as your share draft account for purposes of receiving Business Bill Pay services. Under no circumstances will we be responsible for telephone or Internet Service Provider fees you incur to access the Business Bill Pay service.

G. Warranty Disclaimer
THE COMMUNITY CHOICE CREDIT UNION BUSINESS BILL PAY SERVICE IS PROVIDED ON AN AS-IS BASIS. WE MAKE NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT BUSINESS BILL PAY WILL OPERATE WITHOUT ERRORS OR THAT IT WILL BE AVAILABLE FOR USE IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT. THIS WARRANTY DISCLAIMER EXTENDS TO ANY SERVICE OF COMMUNITY CHOICE CREDIT UNION BUSINESS BILL PAY, WHICH INCLUDES, BUT IS NOT LIMITED TO, THE SERVICES LISTED HEREIN.

H. Limitation of Damages
You hereby agree that our officers, directors, employees, contractors, agents or vendors are not liable for any direct, indirect, special, incidental, exemplary, or consequential damages including lost profits, income, revenue or data whether in an action based in contract, tort, or warranty caused by the Credit Union, its vendors, Business Bill Pay or the use thereof, or arising out of the installation, use, or maintenance of any products or services subject to this Agreement. You further agree damages resulting from use of Business Bill Pay shall be limited to $250.00, unless a higher amount is expressly specified by law.

I. Authorization and Agreement to Receive Electronic Disclosures
In addition to your agreement to the rest of the terms and conditions of this Bill Payment Agreement and Electronic Fund Transfers Disclosure, by clicking on the "I Accept" icon, you request and agree to receive any disclosures to which you are entitled, including any disclosures required under Federal or state law, in electronic form.

You understand and acknowledge that you presently have the right to receive certain disclosures in paper form, and that you may revoke this Authorization and Agreement to Receive Electronic Disclosures at any time by providing Community Choice Credit Union with written notice of such revocation, at which time you will again be entitled to receive such disclosures in paper form. Whether you send such notice of revocation by paper or electronic means, the effective date of your revocation of
this Authorization and Agreement to Receive Electronic Disclosures will be no more than 30 days from the day such notice is acknowledged as received by the credit union.

You understand that in order to receive such disclosures electronically you must maintain the Equipment Specifications set forth in Section B of the Bill Payment Agreement, and you hereby acknowledge that your equipment meets those technical requirements for receiving, downloading, and printing the information.

You understand that in the event you experience difficulties or have questions regarding electronic disclosures you can contact Community Choice Credit Union at (877) 243-2528.

You understand and agree that even though you have agreed to receive disclosures electronically, you may contact the credit union by e-mail or telephone to request that the credit union send a paper copy of a disclosure that has already been sent electronically, and that the credit union may charge a fee for that service, which fee will be separately disclosed. You agree that such fee can be deducted by the credit union from any account that you own at the credit union.

You understand and agree that the credit union retains the right, to the extent permitted by
law, to amend this agreement in the future by providing you with written notice of such
changes sent to your last known mailing address or by providing electronic notice of such
changes sent to your last-known e-mail address. The current version of the agreement will also be available in the business services portion of our website.

You understand and agree that by clicking on the "I Accept" icon, you will have consented
electronically, in a manner that reasonably demonstrates that you can access information in
the electronic form that will be used to provide the information that is the subject of this
consent.

J. Electronic Funds Transfer Disclosure
The following is a disclosure of certain terms and conditions of the Business Bill Pay service and your rights as required pursuant to the Michigan Electronic Funds Transfers Act. The disclosures contained in this Section I pertain only to electronic fund transfers that you may perform by use of the Business Bill Pay service, and not other electronic fund transfers services of the Credit Union. Such other electronic fund transfers services are addressed in the ATM, Debit Card, e-Banking and Regulation E Disclosures on Electronic Fund Transfers that are included in your Community Choice Credit Union Membership Account Agreement.

Accounts Accessed
The following Credit Union accounts, as applicable, may be accessed via Business Bill Pay service for completion of electronic fund transfers:

Types of Transfers You May Make
You may make the following types of electronic funds transfers using the Business Bill Pay service:

Payments by withdrawal from checking account

These transactions shall be referred to herein as "electronic funds transfers."

Excluded Payees
Payments to some of the following payees are not permitted. Due to the risk associated with late payments and the additional documentation that may be required when submitting payments to these payees, the Credit Union cannot guarantee payments to these payees:

• Payments to payees outside of the United States***
• Payments to collection agencies
• Court-ordered payments such as alimony, child support, speeding tickets, etc.
• Payments to payees located in Armed Forces postal codes such as AE and AP
• Payments to settle securities transactions
• Payments to payoff "special financing" transactions
• Unprocessed payments due to error conditions that are not caused by payment
processor
***Payments to these merchants are not permitted through the Business Bill Pay Service. Payments for other payees and purposes described above are permitted but not guaranteed.

Excluded Transactions
Our data processing system makes it possible to offer you many electronic services. However, some of these services do not constitute “electronic fund transfers” for the purpose of this part of the Agreement, for example, automatic transfers from your account(s) to pay your loan(s) owing to us or automatic transfers between your own “asset account(s)” in the Credit Union. Nor does any transfer of funds through Fedwire or through a similar wire transfer system, such as an automated clearinghouse system (ACH) or “A2A” Money Transfer System that is used primarily for transfers between financial institutions or between businesses. The terms and conditions of this Agreement apply only to those services and transfers which are “electronic fund transfers” as described above; they do not apply to other transactions which, although electronic in nature, do not constitute “electronic fund transfers” described above.

Fees
You may be assessed fees for the above-described electronic funds transfers. Please refer to the Fee Schedule you received upon opening your account with the Credit Union, which may be amended from time to time. The most current version of the Business Bill Pay Fee Schedule may be accessed on the Business Bill Pay web site itself. An additional on-line fee may be assessed to your account. Please refer to Section F of this Agreement.

Documentation
You will receive a monthly statement for any month in which you completed an electronic fund
transfer. It is your responsibility to review each statement you receive for its accuracy and
to contact the Credit Union as set forth in this agreement if you discover an error or unauthorized transfer of funds.

Error Resolution

If you notify us orally or in writing, within sixty (60) days after receipt of a statement, that an “electronic fund transfer” error affecting your account(s) has occurred, we will investigate the alleged error and report the results of the investigation to you within ten (10) business days. We will have no duty to investigate any such error unless you notify us by calling during business hours at 866-673-0125, or by writing us at:

In the event you provide us with oral notification, we will not be required to investigate any such error unless you provide us with written notification of that alleged error within fourteen (14) calendar days following oral notification on a form we will provide to you for that purpose.
Our report to you shall do either of the following:
• Provisionally correct the amount in question and provide you with written notification of the correction and, if the correction is not in the exact amount of the alleged error, provide you with a written explanation of any difference between the alleged error and correction made. In the event we make a provisional correction to your account, we may charge back the corrected amount to your account fifteen (15) days after providing notification and an explanation of the charge-back to you. A provisional correction shall become final not later than sixty (60) days after the day it is made. A provisional correction shall be accompanied by a notice explaining to you that the amount of the correction may be charged back to your account within sixty (60) days.
• Provide you with a written explanation, stating the reason we believe the statement is correct.
For purposes of this section, an “electronic fund transfer” error consists of:
• An unauthorized “electronic fund transfer”;
• An incorrect “electronic fund transfer” from or to your deposit account; or
• The omission of an “electronic fund transfer” affecting your account.
An error does not include any “electronic fund transfer” made by a person who was furnished an access device or who was otherwise authorized to make “electronic fund transfers”, unless you notified us that transfers by that person were no longer authorized, nor does an error include any “electronic fund transfer” made with fraudulent intent by you or any person acting in concert with you. In addition, an error does not include a transfer of funds, though electronic in nature that is excluded from the definition of “electronic fund transfer”” (see Excluded Transactions above).

When we receive a notice of error as described above, we will not place a hold on the funds in the account which are in excess of the amount in dispute. If we close the account in which the disputed funds are held, we will provide notice to you. This section shall not be construed or interpreted to prohibit us from placing a hold on any account as permitted by law or contract.
If the correction of an error relating to an electronic fund transaction in an account of yours results in a credit to the account, we will additionally credit the account with interest, which would have been due to you if there had not been an error.

Our business days are Monday through Friday, excluding federal holidays:

Disclosure of Account Information
We will disclose information to third parties about your account or the transfers you make:

• Where it is necessary to complete transfers.
• In order to verify the existence and condition of your account for a third party, such as a credit bureau or merchant.
• In order to comply with any governmental agency or court orders.
• If you give us written permission.

Right to Stop Payment for Preauthorized Transfers
In order to stop payment on a transfer you have pre-authorized, you must notify the Credit
Union at the telephone number listed above. We must receive you request three (3)
business days in advance of the time the transfer is to be made. If you telephone your
request, you will be required to submit a confirming written request within fourteen (14)
days. If you fail to provide the Credit Union with the written request within fourteen (14)
days, your stop payment order will cease to be binding. Refer to the Credit Union's fee
schedule or contact us at 866-673-0125 or the address listed below for current fees for
a stop payment order.

Reversing Electronic Fund Transfers. If an "electronic fund transfer" described in this section was a payment of $50.00 or more for goods or services, you have the right to require us to reverse such transfer and to re-credit your account with the full amount of the transfer if (1) you tell us, within 4 calendar days after the date of the transfer, to make such a reversal, (2) you notify us that you have made a good faith attempt to resolve your dispute with the third party involved, and (3) you assure us that any returnable goods involved in the dispute will be returned.

If you do these things in writing, you MUST send the letter to our address as set forth at the end of this Agreement.

If you phone us, you MUST call at the phone number as set forth at the end of this Agreement.

If you tell us orally that you want such a transfer reversed, you must send us a letter to confirm your reversal request, your notice of attempted resolution of the dispute, and your assurance to return any returnable goods involved. You are required to get this letter back to us within 14 calendar days after the date of your oral request for reversal. We reserve the right to impose a reasonable charge for handling such reversal requests, and to increase such charges thereafter.

Your Liability for Unauthorized Transfers
If you believe your account number, PIN, or any other code, password, or other means of identification we have provided to you has been lost, stolen, or otherwise compromised, or that someone has transferred or may transfer money from your account(s) without your permission, contact us IMMEDIATELY:

You shall not be liable for an unauthorized use of your account through an “electronic fund transfer” unless we can prove, without benefit of inference or presumption, that your negligence substantially contributed to the unauthorized use and that we exercised reasonable care to prevent the loss. As used in this section your negligence means only the following:
• Storing the PIN on the computer or other means of affording access;
• Voluntarily permitting the account access device, including the PIN and account number, to come into the possession of a person who makes or causes to be made an unauthorized use.
If you fail to notify us of an unauthorized use within thirty (30) days after the receipt of a statement containing an unauthorized use, you shall be liable for any subsequent unauthorized use that could have been prevented by timely notification.
You shall not be liable for further unauthorized use of your account by “electronic fund transfer” after you have reported that the means of access to the account has been lost or that the security of the PIN has been violated or otherwise compromised. You agree that enabling your computer to memorize or save your password or other security codes shall be considered
authorization for any subsequent use of your computer and access to Community Choice Credit Union Business Bill Pay by any other person.

Credit Union Liability for Failure to Make Electronic/Pre-Authorized Transfers
If the Credit Union does not complete an electronic/pre-authorized transfer to or from your
account on time, or in the correct amount according to its agreement with you, the Credit
Union may be liable for your losses or damages. There are, however, several exceptions.
The Credit Union will not be liable, for instance, if
• through no fault of the Credit Union, you do not have sufficient funds available to
make the transfer;
• the transfer would go over the credit limit of your overdraft line;
• your account has been closed or is frozen;
• the system was not working properly and you knew of the malfunction at the
time the pre-authorized transfer was scheduled to be transferred;
• circumstances beyond the control of the Credit Union (such as flood or fire)
prevent the transfer despite reasonable precautions taken by the Credit Union;
• a court order or other legal process prohibits the transfer of payment;
• you have previously reported to the Credit Union that you have a reasonable
basis for believing that unauthorized use of your identification number or password has
occurred or may be occurring;
• you have not properly followed on-screen instructions for using Business Bill Pay
• you have not provided us with complete or accurate information for the Bill
Payment services, including without limitation, the name, address, your payee assigned
account number, payment amount, and payment date for the payee on a bill payment;
• you or anyone authorized by you commits fraud or violates any laws or
regulations;
• you are in default under any agreement with the Credit Union or if the Credit
Union or you terminate this agreement;
• you fail to observe the terms of this agreement or any account agreement(s)
relating to electronic funds transfers.


L. Miscellaneous Terms
In addition to this Agreement, you agree to comply with and be bound by all terms and
conditions of all applicable account agreements with the Credit Union, and with all applicable
law and regulations. We refer you to your account agreement that you received when you
opened your account with us for additional terms and conditions and other disclosures that
apply to your account.

We shall not be deemed to have waived any of our rights or remedies hereunder or under
your account agreement unless such waiver is in writing and signed by an authorized
representative of the Credit Union. No delay or omission on our part in exercising any
rights under this Agreement or any account agreement you have with us shall not operate
as a waiver of such rights or remedies.

We may make amendments to this Agreement and any related fees or charges by sending
you a notice via e-mail or regular mail sent to the address as it appears in our records.
Unless otherwise required by law, we will provide you notice of such changes in a manner
we deem reasonable. Any use of Business Bill Pay service after we send you a notice of change
shall constitute your acceptance of such change in terms of this Agreement.

Sections headings are for convenient reference only and shall not affect the meaning or
have any bearing on the interpretation of any provision of this Agreement.

If any provision of this Agreement is held to invalid, illegal, or unenforceable, the validity,
legality, or enforceability of the remaining provisions shall in no way be affected or impaired
thereby.

This Agreement constitutes the entire Agreement between you and the Credit Union and
supersedes all other proposals either oral or written between you and the Credit Union on
this subject.

This Agreement shall be binding upon the successors and assigns of both parties.
Obligations of both parties with respect to confidential or private information and data
pursuant to this Agreement remain in effect and shall continue and survive cancellation,
termination, or expiration of this Agreement

This Agreement and EFT Disclosure is governed by federal laws and regulations, state laws
and regulations, and local clearinghouse rules as may be amended from time to time. Any
disputes regarding this Agreement shall be subject to the jurisdiction of the appropriate
court in Oakland County, Michigan or Federal District Court of the Eastern District of
Michigan.

You agree that you will be liable to us for any loss, cost or other expenses, including
reasonable attorney's fees, we incur as a result of your failure to comply with the terms and
conditions set forth herein and as we may amend from time to time. You authorize us to
deduct any loss, cost or other expenses including reasonable attorney's fees for any action
we may take to enforce this Agreement from any account you hold at Community Choice Credit Union.

M. Your Acceptance

By clicking "I Accept" below and accessing your account(s) via Business Bill Pay you represent that you have read, fully understand and accept the terms of this Agreement, including but not limited to your intent that it be an addendum to your account
agreement with us.
